This Master Membership Subscription Agreement ("Agreement") constitutes the official and controlling agreement governing the use of all Freelancer LLC® services, websites, mobile applications, memberships, loyalty programs, transportation coordination services, technology systems, onboarding services, and all related products and services offered by Freelancer LLC®.
This Agreement is intended to establish a clear understanding of the rights, obligations, responsibilities, limitations, and legal relationships between Freelancer LLC® and all persons utilizing, subscribing to, participating in, or otherwise engaging with Freelancer LLC® products and services.
This Agreement applies to:

Freelancer LLC® ("Freelancer", "Company", or "Freelancer LLC®") is a California Limited Liability Company organized and existing under the laws of the State of California.
Freelancer LLC® operates as a technology-enabled executive mobility and passenger transportation coordination company utilizing proprietary digital technologies, membership programs, onboarding automation systems, passenger loyalty programs, chauffeur loyalty programs, and transportation management technologies designed to facilitate premium transportation services throughout the State of California.
Freelancer LLC® was founded upon the principle that transportation should provide more than simply moving passengers from one location to another.

Transportation services available through Freelancer may be performed by:
Partner-Chauffeurs are independent businesses and are not employees of Freelancer LLC® unless expressly stated in a separate written agreement.

This philosophy reflects the Company's belief that luxury transportation is measured not by vehicle occupancy, but by passenger comfort, privacy, professionalism, and appreciation.
Freelancer LLC® reserves all rights not expressly granted herein.
The Company may:

For purposes of this Master Membership Subscription Agreement, the following terms shall have the meanings set forth below:
"Agreement" means this Master Membership Subscription Agreement, including all policies, amendments, schedules, exhibits, attachments, loyalty programs, and incorporated documents published by Freelancer LLC®.
"Freelancer LLC®," "Freelancer," or "Company" means Freelancer LLC®, a California Limited Liability Company, including its affiliated companies, subsidiaries, divisions, successors, assigns, websites, mobile applications, and authorized representatives.
A "Passenger" means any person utilizing Freelancer LLC® services for transportation coordination, reservations, memberships, or other transportation-related services.
A "Passenger Member" means a Passenger who maintains an active subscription membership with Freelancer LLC® and is eligible for membership benefits, loyalty incentives, promotions, and other member privileges.
A "Partner-Chauffeur" means an independently owned transportation business, chauffeur, or transportation provider who has been approved to participate in the Freelancer platform.
A Partner-Chauffeur:
An Independent Contractor means an independently owned business or individual operating independently from Freelancer LLC® and not entitled to:
Membership means an active subscription account maintained with Freelancer LLC® granting access to benefits, services, rewards programs, discounts, and other membership privileges.
Passenger Membership means a subscription program allowing passengers to receive:
Partner-Chauffeur Membership means an active chauffeur membership subscription granting access to:
Loyalty Program means any incentive, rewards, promotional, referral, appreciation, or recognition program created by Freelancer LLC® for passengers or Partner-Chauffeurs.
Mystery Rider Program means Freelancer LLC®'s anonymous passenger evaluation program designed to assess:
Mystery Rider evaluations may affect:
Trip 50 Incentive means a promotional rewards program established by Freelancer LLC® recognizing passengers or Partner-Chauffeurs upon completion of qualifying transportation milestones or other promotional achievements.
Participation is subject to eligibility requirements and program rules.
Transportation Services means reservation, coordination, scheduling, or transportation-related services offered directly or indirectly through Freelancer LLC®.
Actual transportation services may be provided by independently licensed transportation providers.
Website means all internet domains, websites, landing pages, web portals, and affiliated online services owned or operated by Freelancer LLC®.
Mobile Application means any Freelancer-owned software application available through:
Digital Acceptance means the electronic acknowledgment of this Agreement by:
Digital Acceptance constitutes a legally binding electronic signature.
Confidential Information includes:
whether written, verbal, electronic, visual, or otherwise disclosed.
Proprietary Information means all information owned by Freelancer LLC® including:
Business concepts
Software
Applications
Trade secrets
Logos
Documents
Databases
Technology
Business strategies
Operational systems
Marketing materials
Loyalty programs
Compensation systems
Passenger and Partner-Chauffeur records.
Intellectual Property means all:
Copyrights
Trademarks
Trade Secrets
Patents
Business Methods
Software
Databases
Logos
Mobile Applications
Websites
Designs
Written Materials
Documentation
owned or controlled by Freelancer LLC®.
Affiliate Company means any company owned, controlled, operated, or affiliated with Freelancer LLC®, including:
Freelance Drivers LLC®
Freelancer Drivers LLC®
AsiaFleet LLC®
and any future subsidiaries, divisions, or affiliated entities.
User means any person accessing:
whether as a passenger, chauffeur, contractor, developer, or visitor.
Person means an individual, corporation, partnership, limited liability company, association, trust, governmental entity, or any other legal entity.
The definitions contained herein shall apply throughout this Agreement unless the context clearly requires otherwise.

Freelancer LLC® does not guarantee:

Freelancer LLC® reserves the right to:

The Freelancer Passenger Membership Program is designed to provide passengers with access to executive mobility services, loyalty rewards, reservation privileges, appreciation incentives, and transportation coordination services offered through Freelancer LLC®.
The program is intended to reward loyalty, provide exceptional customer experiences, and encourage long-term relationships between Freelancer LLC® and its members.
To qualify for Passenger Membership, an applicant must:
Freelancer reserves the right to approve, deny, suspend, or terminate membership at its discretion to the extent permitted by law.
Passenger Membership is offered as a recurring subscription service.

Freelancer may provide transportation for:

To conduct themselves respectfully.
Passengers shall not:

Permanent account closure.

Transportation involves inherent risks.
Freelancer encourages:
Seat belt usage;
Compliance with safety instructions;
Safe entry and exit from vehicles;
Respectful behavior.
Passengers assume responsibility for their own conduct during transportation.
Passengers are responsible for:
Personal property;
Electronics;
Baggage;
Jewelry;
Documents;
Cash;
Other valuables.
Passengers are encouraged to verify all belongings before exiting the vehicle.
Freelancer LLC®:
Does not insure personal belongings;
Does not guarantee recovery of lost property;
Is not responsible for unattended items except as required by law.
Freelancer LLC® believes:

Freelancer reserves the right to create special appreciation programs at its discretion.

Suspended
Cancelled
Expired
Terminated
based upon:
Payment status;
Account activity;
Compliance with this Agreement;
Fraud prevention;
Safety considerations.
Freelancer LLC® reserves the right to:

Modify loyalty programs;
Modify service offerings;
Modify passenger eligibility;
Discontinue programs
at any time consistent with applicable law.

The Freelancer Partner-Chauffeur Membership Subscription Program was established to create business opportunities for professional transportation providers by allowing independently owned chauffeur businesses to participate within the Freelancer executive mobility platform.
The purpose of this program is to:
Partner-Chauffeur Qualifications and Compliance
Partner-Chauffeurs and participating transportation operators must maintain all applicable licenses, permits, regulatory authority, commercial insurance, vehicle documentation, safety compliance, and professional qualification standards required by Freelancer LLC®, the California Public Utilities Commission, the California Department of Motor Vehicles, and any other applicable city, county, state, airport, or regulatory authority.
Where applicable, Partner-Chauffeurs must provide proof of valid California PUC TCP authority, approved vehicle authorization, commercial insurance coverage, driver qualification documentation, vehicle safety compliance, and any other documentation required by Freelancer or applicable law.
Approval to participate within the Freelancer platform is conditioned upon ongoing compliance, professional conduct, passenger safety, service quality, vehicle standards, and adherence to Freelancer's Executive Mobility policies and operational requirements.
Freelancer reserves the right to review, verify, restrict, suspend, or remove platform access if a Partner-Chauffeur or transportation operator fails to maintain required qualifications, applicable permits, insurance coverage, safety standards, professional conduct, or compliance obligations.
Partner-Chauffeurs are Independent Contractors.
Nothing contained within this Agreement shall be interpreted to create:
Partner-Chauffeurs remain:
Independent businesses;
Responsible for their own operations;
Responsible for taxes;
Responsible for licenses;
Responsible for insurance;
Responsible for regulatory compliance.
Partner-Chauffeurs maintain exclusive ownership of:
Participation in Freelancer does not transfer ownership rights to Freelancer LLC®.
Partner-Chauffeur Membership Fee:
$29.95 per month
Membership provides access to:
Membership fees:
Are recurring;
Non-refundable except where required by law;
Subject to modification by Freelancer LLC®.
Partner-Chauffeurs may earn:
Up to 80% of passenger-paid fares,
subject to:
Membership status;
Passenger ratings;
Trip completion;
Performance standards;
Passenger satisfaction;
Program eligibility.
Freelancer LLC® does not guarantee:
Minimum earnings;
Specific trip volume;
Passenger demand;
Revenue levels.
Partner-Chauffeurs shall maintain vehicles that:
Are safe;
Are clean;
Are professionally maintained;
Meet California regulatory requirements;
Meet Freelancer standards;
Maintain appropriate passenger accommodations.
Vehicles may be inspected periodically.
Partner-Chauffeurs shall maintain:
Valid California Driver License;
Commercial registration where required;
CPUC/TCP authority where applicable;
DMV Employer Pull Notice participation;
Drug and alcohol testing enrollment;
Airport permits where required;
LAWA Ground Transportation authorization where applicable;
NELA agreements where applicable.
Failure to maintain required credentials may result in:
Suspension;
Deactivation;
Termination.
Partner-Chauffeurs shall maintain:
Commercial Automobile Liability Insurance;
Coverage limits required by California law;
Uninsured Motorist coverage where required;
Medical payments coverage where applicable;
Additional coverages required by Freelancer policies.
Partner-Chauffeurs shall provide:
Certificate of Insurance;
Renewal verification;
Notice of cancellation;
Other insurance documentation upon request.
Partner-Chauffeurs agree to:
Dress professionally;
Maintain vehicle cleanliness;
Demonstrate courtesy;
Respect passenger privacy;
Respect cultural diversity;
Assist passengers respectfully;
Provide safe transportation;
Represent Freelancer LLC® professionally.
Partner-Chauffeurs shall protect:
Passenger identities;
Reservation information;
Contact information;
Travel history;
Payment information;
Business relationships.
Passenger information may not be:
Sold;
Copied;
Disclosed;
Transferred;
Used for unauthorized marketing.
Partner-Chauffeurs shall not:
Operate under the influence of alcohol or drugs;
Harass passengers;
Discriminate unlawfully;
Provide false information;
Submit fraudulent documents;
Damage Freelancer's reputation;
Violate laws or regulations.
Violations may result in:
Immediate suspension;
Permanent deactivation;
Termination of membership;
Legal action.
Partner-Chauffeurs retain discretion regarding:
Trip acceptance;
Service availability;
Operating schedules;
Business hours;
Vehicle availability.
Freelancer does not require acceptance of any particular reservation unless otherwise agreed in writing.
Partner-Chauffeurs may receive access to:
Mobile applications;
Administrative dashboards;
Reservation systems;
Passenger communication systems;
Payment systems;
Loyalty programs;
Business management tools.
Access remains:
Limited;
Revocable;
Subject to compliance with this Agreement.
Freelancer LLC® reserves the right to:
Modify membership benefits;
Modify loyalty programs;
Modify eligibility standards;
Modify technology systems;
Modify operating requirements;
Modify compensation structures;
Modify incentive programs;
Suspend or terminate membership
consistent with applicable law.

Drivers not maintaining an Active Subscription Membership shall be classified as:
Inactive Partner-Loyalty Member
Inactive Members:
Remain eligible for transportation opportunities;
Receive compensation of fifty percent (50%) or less of passenger-paid fares;
Are not eligible for:
Loyalty Benefits;
Rewards;
Referral Incentives;
Compensation Advancement Programs;
Bonuses;
Promotional Opportunities;
or other Active Member incentives.
If an Active Subscription Membership is cancelled, suspended, or expires for any reason, the Partner-Chauffeur shall automatically revert to IPLM (Inactive Partner-Loyalty Member) status.
All loyalty benefits, compensation advancements, incentive programs, bonuses, referral rewards, and promotional benefits shall immediately terminate unless otherwise authorized in writing by Freelancer LLC®.
Reactivation of benefits may require restoration of Active Subscription Membership and compliance with all current eligibility requirements.

Failure to satisfy inspection requirements may result in temporary deactivation until deficiencies are corrected.

The Mystery Rider Incentive Program is an internal quality assurance and passenger appreciation initiative established by Freelancer LLC® to evaluate, maintain, and enhance the highest standards of chauffeur professionalism, passenger service, and overall travel experience.

By registering for, subscribing to, reserving, or utilizing any services offered by Freelancer LLC® ("FREELANCER"), the Passenger acknowledges that they have read, understood, and agree to be bound by these Passenger Terms of Service, the Membership Subscription
Agreement, and all applicable policies, procedures, and operating guidelines established by Freelancer LLC®.
FREELANCER operates as a pre-arranged Executive Mobility service.
All transportation services must be reserved a minimum of thirty-six (36) hours in advance, unless otherwise approved by Freelancer LLC®.
Reservations are subject to Chauffeur availability, vehicle availability, weather conditions, and operational requirements.
Passengers are expected to conduct themselves respectfully and professionally during all transportation services.
Freelancer LLC® reserves the right to refuse, suspend, or terminate services for any Passenger engaging in:
Passengers may request specific vehicle categories, Featured Vehicles, Preferred Chauffeurs, Gender Selection, or other specialized services.
However, all selections remain subject to:
Freelancer LLC® does not guarantee the availability of any specific Chauffeur or vehicle.

All charges shall be presented to the Passenger prior to confirmation of service whenever reasonably possible.
Active Subscription Members may participate in:

Freelancer LLC® operates exclusively as a Pre-Arranged Executive Mobility Service. Upon confirmation of a reservation, transportation resources, Chauffeur availability, vehicle scheduling, and operational time are reserved specifically for the Passenger.
Accordingly, the following Cancellation Policy shall apply:
A. Reservation Cancellation (Prior to Chauffeur Dispatch)
Passengers may cancel a reservation at any time; however, all confirmed reservations are subject to a minimum Cancellation Fee of One Hundred Fifty Dollars ($150).
This fee compensates Freelancer LLC® and the assigned Chauffeur-Partner for:

Once the Chauffeur-Partner has been dispatched and is traveling to the Passenger's designated pickup or staging location, the reservation shall be considered "In Progress."
Any cancellation occurring after Chauffeur dispatch shall be subject to:
All Chauffeur compensation shall be calculated using Freelancer's standard billing methodology and billed in thirty (30) minute increments.

D. Cancellation After Passenger Pickup
If cancellation occurs after the Passenger has entered the vehicle and transportation services have commenced, the Passenger shall remain responsible for all charges accrued up to the point of cancellation, including applicable fees and minimum trip requirements.
E. Fairness Policy
Freelancer LLC® believes Chauffeur-Partners deserve fair compensation for their time, preparation, and professional commitment.
Likewise, Passengers deserve transparent pricing and advance notice of cancellation obligations.
This Cancellation Policy was created to protect the interests of both parties while maintaining fairness, professionalism, and mutual respect throughout the Executive Mobility experience.
Freelancer LLC® is committed to providing:
Passenger information shall be maintained and processed in accordance with Freelancer LLC® Privacy Policies and applicable laws.
Freelancer LLC® values and respects the relationship between its Passengers and Chauffeur-Partners.
Occasionally, unexpected circumstances, busy schedules, or the excitement of travel may result in personal belongings being misplaced or unintentionally left behind within a Chauffeur-Partner's vehicle.
As part of Freelancer's commitment to customer appreciation and professional service, any recovered property believed to belong to a Passenger shall be secured and reported to Freelancer's Administrative and Security Department.
Upon identification of the property, Freelancer shall make reasonable efforts to notify the Passenger and coordinate the safe return of the recovered item.
PROPERTY RETRIEVAL OPTIONS
Passengers may retrieve their recovered property through one of the following methods:
Passengers may arrange to retrieve their property from an approved location designated by Freelancer LLC®.
If a Passenger requests that the recovered property be personally returned by a Chauffeur-Partner, the service shall be billed using Freelancer's standard transportation billing methodology.

Passengers may request shipment of recovered property through an approved courier service.
The Passenger shall be responsible for:
LIMITATION OF RESPONSIBILITY
Freelancer LLC® and its Chauffeur-Partners shall exercise reasonable care in securing recovered property.
However, Freelancer LLC® does not guarantee the recovery of lost, misplaced, or stolen items and shall not be liable for items not recovered or for losses occurring beyond its reasonable control.

Nothing contained within this Agreement shall be construed to create an employer-employee relationship, partnership, joint venture, franchise, agency relationship, or any other employment arrangement between Freelancer LLC® and the Chauffeur-Partner.
The Chauffeur-Partner shall retain sole and exclusive control over:

The Passenger and Chauffeur-Partner agree to indemnify, defend, and hold harmless Freelancer LLC®, its Founder, officers, directors, affiliates, employees, agents, successors, and assigns from and against any and all claims, actions, liabilities, damages, losses, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorney's fees, arising out of or related to:

To discontinue an Active Subscription Membership, Members shall provide Freelancer LLC® with a minimum of thirty (30) days advance written notice of cancellation.

Where applicable, Partner-Chauffeurs must provide proof of valid California PUC TCP authority, approved vehicle authorization, commercial insurance coverage, driver qualification documentation, vehicle safety compliance, and any other documentation required by Freelancer or applicable law.
Approval to participate within the Freelancer platform is conditioned upon ongoing compliance, professional conduct, passenger safety, service quality, vehicle standards, and adherence to Freelancer's Executive Mobility policies and operational requirements.
Freelancer reserves the right to review, verify, restrict, suspend, or remove platform access if a Partner-Chauffeur or transportation operator fails to maintain required qualifications, applicable permits, insurance coverage, safety standards, professional conduct, or compliance obligations.

This Partner-Chauffeur Loyalty Program Membership Agreement ("Agreement") governs enrollment, payment, participation, qualifications, benefits, performance requirements, recurring billing, cancellation, suspension, and termination of the FREELANCER Partner-Chauffeur Loyalty Program ("Program" or "Membership").

Platform approval does not replace governmental licensing or regulatory approval.
A Member may perform only those services legally permitted by the Member's active operating authority.
Membership approval is conditional upon continuing qualification.
The Partner-Chauffeur must maintain current and valid:

FREELANCER may temporarily restrict or suspend access when documentation:
No transportation opportunity may be accepted or completed while the Member lacks required legal authority, insurance, licensing, or vehicle approval.

By enrolling, the Member authorizes FREELANCER and its authorized payment processor to charge the Membership Fee to the Member's approved payment method at each monthly billing interval.
The renewal date will generally correspond with the original enrollment date.
The Member is responsible for:

The Member should independently evaluate all costs, risks, and expected returns.
FREELANCER may maintain a Partner-Chauffeur Performance Rating based on objective and service-related information.

FREELANCER may investigate disputed ratings and remove information determined to be fraudulent, retaliatory, irrelevant, or unsupported.
Qualified Members may advance through loyalty or performance levels established by FREELANCER.

This Passenger Membership Subscription Agreement ("Agreement") is entered into between Freelancer LLC® ("Freelancer", "Company") and the individual registering for, subscribing to, or utilizing Freelancer's website, mobile applications, membership services, or transportation coordination platform ("Passenger" or "Member").
By selecting "I Agree," activating an account, subscribing to a membership, making a reservation, or utilizing any Freelancer LLC® services, the Passenger acknowledges having read, understood, and agreed to be legally bound by this Agreement.

The FREELANCER Loyalty Program is a paid, automatically renewing Passenger membership program.
Unless a different price or billing period is clearly disclosed and accepted during enrollment:
By selecting the membership acceptance checkbox, completing enrollment, or otherwise affirmatively accepting this Agreement, the Member authorizes FREELANCER LLC and its payment processor to charge the disclosed membership fee to the authorized payment method at each recurring billing interval until the membership is canceled.
FREELANCER LLC is a California Limited Liability Company operating as a California Passenger Stage Corporation ("CPSC") and providing:

The FREELANCER Loyalty Program reflects the Company's commitment to recognizing, appreciating, and rewarding Passengers who establish an ongoing relationship with the FREELANCER Executive Mobility platform.
FREELANCER believes loyalty should create meaningful value.
Membership is designed to provide eligible Passengers with access to savings, personalized benefits, service opportunities, recognition, and mobility experiences that may not be available to nonmembers.
This Loyalty Program Membership Agreement ("Agreement") governs enrollment, payment, participation, benefits, rewards, account administration, renewal, cancellation, and termination of the FREELANCER Loyalty Program ("Loyalty Program," "Program," or "Membership").

A business, corporate partner, travel coordinator, household, or other entity may participate only through a program expressly authorized by FREELANCER.
FREELANCER may approve, reject, limit, suspend, or discontinue an enrollment when reasonably necessary to protect the Program, prevent fraud, comply with law, or preserve service quality.
Membership shall not be denied or administered in a manner prohibited by applicable law.
Membership begins only after the prospective Member affirmatively accepts the disclosed Membership terms.

Before the Member is charged, FREELANCER will present the material terms of the Membership, including:
The Member's electronic acceptance has the same force and effect as a handwritten signature.
Unless another price is clearly disclosed and affirmatively accepted during enrollment, the standard FREELANCER Loyalty Program Membership Fee is:

The Membership Fee does not constitute:
Transportation fares, tolls, parking charges, waiting time, staging charges, airport charges, governmental fees, gratuities, damage charges, cleaning charges, cancellation fees, and other service charges remain separate unless expressly stated otherwise.
Membership automatically renews each month until canceled.
By enrolling, the Member authorizes FREELANCER and its authorized payment processor to charge the applicable Membership Fee, including legally required taxes, to the Member's payment method at the beginning of each recurring billing period.
The renewal date will generally correspond to the original enrollment date.
When a calendar month does not contain the corresponding date, billing may occur on the final day of that month or another reasonably equivalent date.
The Member remains responsible for:
FREELANCER may provide renewal reminders, billing notices, or other subscription communications when required by law or considered appropriate.
The Member represents that:
FREELANCER may use a third-party payment processor, including Stripe or another authorized provider.
FREELANCER does not require access to the Member's complete payment-card information when the information is securely maintained by the authorized payment processor.
The Member authorizes FREELANCER to correct or resubmit a Membership charge when:
If a Membership payment is declined, reversed, disputed, or otherwise unsuccessful, FREELANCER may:
A payment failure does not automatically cancel the Membership unless FREELANCER confirms cancellation.
The Member remains responsible for valid charges incurred before cancellation or termination.
FREELANCER will not impose a separate late fee unless that fee is clearly disclosed and legally permitted.
Depending on the active Program structure, geographic market, Membership status, reservation type, service availability, and promotional eligibility, benefits may include:
Not every benefit will be available to every Member or during every billing period.
Specific benefit terms may be displayed within the Passenger application, website, Membership account, reservation process, email, promotional notice, or other authorized communication.
FREELANCER may offer eligible Members transportation discounts that may range from approximately twenty-five percent to fifty percent on selected qualifying services.
The actual discount, if any, may depend on:
A stated discount range does not guarantee that every reservation will receive a discount or that the maximum discount will be available.
Unless expressly stated otherwise, discounts do not apply to:
Discounts cannot be exchanged for cash.
Eligible Members may receive additional benefits for qualifying airport or travel services.
An airport-service benefit may include an additional discount, including an additional discount of up to ten percent, when expressly offered as part of a qualifying reservation or service bundle.
Airport and travel benefits may be subject to:
An additional airport discount is not guaranteed unless displayed and confirmed as part of the reservation.
Governmental, airport, parking, toll, waiting, and third-party charges may remain payable at their full amount.
FREELANCER may occasionally provide eligible Members with a complimentary ride, service credit, upgrade, amenity, promotional experience, or other complimentary benefit.

Complimentary services have no cash value and cannot be refunded as cash.
FREELANCER may issue loyalty rewards, points, service credits, promotional values, certificates, digital benefits, or similar incentives.
Rewards may be earned through:

Rewards are promotional benefits and do not constitute:
Rewards cannot be sold, assigned, transferred, bartered, inherited, pledged, or exchanged for cash unless expressly authorized by FREELANCER.
FREELANCER believes appreciation should never have an expiration date.
Accordingly, FREELANCER may preserve qualifying earned Member rewards for as long as the Program remains active and the Member account remains in good standing.
However, a specific promotional reward, complimentary benefit, service credit, referral reward, or limited-time offer may contain an expiration date when that expiration is clearly disclosed when the benefit is issued.
Rewards may also be forfeited when:
FREELANCER may provide reasonable notice before expiring a material reward balance when required by law or the applicable promotional terms.
Members may voluntarily provide dates or preferences for personalized recognition, including:
Providing optional recognition information does not guarantee a reward, complimentary service, discount, or particular form of acknowledgment.
Information will be processed in accordance with the FREELANCER Privacy Policy.
Members are responsible for maintaining accurate account information.
Membership benefits, discounts, loyalty status, promotional eligibility, reward limits, introductory offers, waiting periods, advancement requirements, and account history are associated with the Member and the Member's verified identity, business, Driver Identification Number, contact information, payment history, and related account records.
Changing a payment card, bank account, billing method, email address, telephone number, business name, device, account credential, or other account information does not create a new Membership or reset the Member's prior Membership history.
Canceling and later restarting Membership does not automatically:
FREELANCER may identify related, duplicate, successor, replacement, or reactivated accounts by reviewing information including:
When FREELANCER determines that a canceled, replacement, duplicate, or reactivated account is associated with the same Member, business, owner, operator, vehicle, payment source, or controlling person, FREELANCER may treat the account as a continuation of the prior Membership.
FREELANCER may therefore:
A Member may not cancel, change payment information, create another account, alter identifying information, transfer control of a business, or re-enroll for the primary purpose of obtaining benefits that would not otherwise be available.
Any attempt to manipulate Membership status, reset Program benefits, avoid waiting periods, obtain repeated introductory offers, duplicate discounts, or evade prior account restrictions constitutes Program abuse and a material violation of this Agreement.
FREELANCER may distinguish a legitimate new Membership from an attempted benefit reset based on the totality of the circumstances, including the length of time since cancellation, changes in ownership, changes in business structure, prior Program activity, prior benefit usage, payment history, and the reason for re-enrollment.
A genuinely new owner or legally separate business may be required to complete full onboarding and provide documentation establishing that it is not a continuation, successor, affiliate, nominee, or replacement account created to avoid Program limitations.
Nothing in this section prevents a former Member from applying to rejoin the Program. Re-enrollment, however, remains subject to FREELANCER approval, current Membership terms, current pricing, current qualification standards, prior account history, and any applicable reinstatement conditions.
I understand that changing my payment method, canceling and re-enrolling, creating another account, or changing account information will not reset my Membership history, introductory eligibility, discounts, rewards, loyalty status, waiting periods, performance records, or prior restrictions.
Membership may provide access to promotions involving Featured Vehicles, Select Choice, or Vehicle Select.
Membership does not guarantee:
A requested vehicle becomes guaranteed only when FREELANCER expressly confirms the exact vehicle as part of a completed reservation.
If a selected vehicle becomes unavailable for mechanical, inspection, safety, regulatory, operational, or serviceability reasons, FREELANCER may offer:
Membership may allow a Member to save or request eligible service preferences, including Gender Select or spoken-language preferences.
These preferences:
When a requested language preference cannot be fulfilled by an available bilingual Partner-Chauffeur, FREELANCER may offer AI-Integrated Intelligent Language Assistance.
Automated language assistance is a convenience feature and not a substitute for certified medical, legal, emergency, or governmental interpretation.
Membership provides access to the Loyalty Program.
It does not create a guarantee that FREELANCER will accept or fulfill every transportation request.
All transportation remains subject to:
FREELANCER may decline, modify, reassign, reschedule, substitute, or cancel a transportation service when reasonably necessary.
Membership does not create an entitlement to transportation that would be unsafe, unlawful, operationally unavailable, or outside the scope of FREELANCER's authorized services.
Members remain subject to all reservation requirements.
FREELANCER may require reservations to be submitted at least thirty-six hours before the requested staging or pickup time.
Providing advance notice increases the likelihood of:
Advance booking does not guarantee that every requested feature will be available.
The Member must provide accurate:
FREELANCER may modify or cancel a reservation when material information is inaccurate, incomplete, or omitted.

Unless different terms are disclosed during booking, a cancellation occurring within the final twelve hours before scheduled Passenger staging may be subject to a cancellation charge of up to $150.

A complimentary ride or discounted reservation remains subject to cancellation requirements.
A Member may cancel the Loyalty Program at any time through an available authorized cancellation method.

When Membership was enrolled in online, an online cancellation method will be made available as required by applicable law.

Unless otherwise required by law or expressly stated:

The absence or nonuse of Membership benefits during a billing period does not independently create a right to a refund.
A Member is responsible for canceling Membership when continued participation is no longer desired.
Refund processing time may depend on the payment processor and the Member's financial institution.
FREELANCER may offer a free trial, reduced introductory price, complimentary Membership period, bundled Membership, or other promotional enrollment.
The enrollment disclosure will identify:
Unless canceled before the disclosed conversion date, a promotional Membership may automatically convert to a paid Membership at the disclosed recurring price.
A Member may be limited to one free trial or introductory offer.
FREELANCER may deny or revoke promotional eligibility when it reasonably determines that a person has created duplicate accounts, used false information, or otherwise attempted to obtain repeated introductory benefits.
FREELANCER reserves the right to change the Membership Fee.
Before charging an increased recurring Membership Fee, FREELANCER will provide notice and obtain any additional consent required by applicable law.

FREELANCER will not rely solely on silence or inactivity as consent when affirmative consent is legally required.
A Member who does not agree to a price increase may cancel before the increase becomes effective.
FREELANCER may add, remove, modify, replace, limit, suspend, or discontinue a Membership benefit based on:
FREELANCER will provide reasonable notice of a material adverse change when required by law.
Changes to future benefits do not necessarily create a refund right when the Member continues to receive access to the Program during the applicable billing period.
FREELANCER may immediately restrict a benefit when necessary for safety, fraud prevention, legal compliance, or security.

Membership benefits may not be obtained through misrepresentation, manipulation, threats, harassment, duplicate accounts, payment disputes, false referrals, or other abusive conduct.
Membership is personal to the enrolled Member unless FREELANCER expressly authorizes a household, family, corporation, business entity or other shared program.
A Member may arrange transportation for an authorized guest when permitted by the reservation terms.

The enrolled Member remains responsible for authorized activity conducted through the Membership account.
FREELANCER may permit a Member to reserve transportation for:
The Member must provide accurate Passenger information and ensure that the Passenger understands applicable conduct, safety, vehicle-protection, and service requirements.

Membership benefits applicable to guest reservations will be determined by the terms of the specific benefit.
Individual Loyalty Program Membership does not automatically create or include an Executive Corporate Service, B2B Partner Account, key-card account, or corporate billing arrangement.
Corporate benefits may be governed by a separate agreement.

An Entry Code or key card does not eliminate a Passenger's obligation to complete any required one-time-code verification or ride-activation process.
When an individual Membership and corporate benefit both apply, FREELANCER may determine which benefit provides the greater applicable value unless the programs expressly permit combination.
Unless a specific promotion states otherwise:
FREELANCER may correct the accidental application of incompatible or duplicate discounts before final payment settlement.
FREELANCER may provide rewards for qualified Member referrals.

A referral reward may be denied, reversed, or forfeited when:
Referral benefits are promotional and do not create employment, commission, agency, partnership, or independent-contractor status.
Prohibited activity includes:
FREELANCER may investigate suspected misconduct and preserve relevant account, transaction, communication, location, and reservation information as permitted by law.
FREELANCER may suspend, restrict, or terminate Membership when reasonably necessary because of:

Immediate suspension or termination may occur when necessary to address safety, fraud, security, serious misconduct, or legal compliance.
Termination does not eliminate responsibility for valid charges incurred before termination.

Termination for fraud or serious misconduct may result in forfeiture of rewards associated with the misconduct.
FREELANCER may discontinue the Loyalty Program when reasonably necessary.

FREELANCER may discontinue the Program more quickly when required by law, regulatory action, security concerns, insolvency, emergency conditions, or circumstances beyond its reasonable control.
No additional Membership Fee will be charged for a period beginning after the Program's final effective date.

Membership information will not be sold or transferred as a stand-alone Membership list except as permitted by the Privacy Policy and applicable law.

A Member who separately applies for employment, a Partner-Chauffeur opportunity, or another business relationship must complete the applicable application and execute any required separate agreement.
Partner-Chauffeurs may be independently owned and operated transportation businesses approved to participate within the FREELANCER business ecosystem.
Membership does not authorize a Member to:
Members and Partner-Chauffeurs must treat one another with professionalism, dignity, privacy, and respect.
The FREELANCER Loyalty Program, including its structure, brand identity, benefit design, membership system, rewards, technology, written materials, graphics, service terminology, promotional methods, pricing systems, reservation processes, and operating procedures, constitutes proprietary information owned by or licensed to FREELANCER LLC.
Membership provides only a limited, revocable, nonexclusive, nontransferable right to participate in the Program for personal use.

These expressions may not be copied, reproduced, altered, registered, imitated, distributed, advertised, licensed, incorporated into another business, used in social-media branding, used for search-engine advertising, or otherwise commercially exploited without the prior written authorization of FREELANCER LLC.
The presence or absence of a trademark, service-mark, registered-mark, copyright, or similar symbol does not waive any proprietary right.
The economic value received from Membership will vary among Members.
FREELANCER does not guarantee that:
Membership should be purchased based on the disclosed Program access and not upon an expectation of guaranteed savings.
To the maximum extent permitted by law, the Loyalty Program is provided on an "as available" basis.
FREELANCER does not warrant that:
Nothing in this Agreement excludes any warranty, remedy, or consumer right that cannot lawfully be waived.
To the maximum extent permitted by law, FREELANCER shall not be responsible for indirect, incidental, special, exemplary, punitive, or consequential damages arising from:
Nothing in this Agreement limits liability that cannot legally be limited.
Transportation-related liability may also be governed by applicable law, insurance coverage, regulatory requirements, reservation terms, and separate agreements.
Before commencing formal proceedings, the Member and FREELANCER agree to make a good-faith effort to resolve a dispute through written notice and informal discussion.
Unless prohibited by law or controlled by a separate written arbitration agreement, a dispute may be subject to:
Any applicable arbitration agreement shall identify the governing rules, arbitrator-selection process, fee allocation, small-claims rights, legally required opt-out procedure, and applicable consumer protections.
Nothing prevents either party from seeking:
This Agreement is governed by the laws of the State of California, except where applicable federal law controls.
Subject to an enforceable arbitration agreement, venue for judicial proceedings shall be located in Orange County, California, unless applicable law requires another venue.
FREELANCER may revise this Agreement periodically.
The updated Agreement will identify a revised effective date.

When a revision materially changes an automatically renewing price or another term requiring affirmative consent, FREELANCER will obtain the consent required by applicable law before applying the change.
Continued Membership after the effective date constitutes acceptance of other properly disclosed revisions to the extent permitted by law.
If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted or modified to reflect its lawful purpose.
The remaining provisions will continue in full force and effect.
FREELANCER's failure to enforce a provision does not waive its right to enforce that provision later.
A waiver is effective only when issued in writing by an authorized FREELANCER representative.
A waiver regarding one event does not constitute a waiver regarding another event.
The Member may not sell, assign, delegate, or transfer this Agreement or the Membership without prior written authorization from FREELANCER.
FREELANCER may transfer or assign this Agreement in connection with:
Any assignment will remain subject to applicable consumer-protection requirements.
This Agreement, together with the policies and disclosures incorporated into it, constitutes the complete agreement governing the Loyalty Program.
No verbal statement, advertisement, customer-service communication, or informal representation modifies this Agreement unless confirmed through an authorized written or electronic amendment.
A service-specific promotion may supplement this Agreement but controls only with respect to that promotion.
Membership questions, billing concerns, cancellation requests, and Program inquiries may be submitted through the official contact methods published by FREELANCER.
