ACTIVE MEMBERSHIP TERMS AND CONDITIONS

PASSENGER - Partner/Drivers Membership Purchase Agreement

and

CONFIDENTIAL, PROPRIETARY, NON-COMPETE & NON-DISCLOSURE AGREEMENT

This Confidential, Proprietary and Non-Disclosure Agreement (“Agreement”) is entered into as of the (“Effective Date” of this “Digital Acceptance Agreement”), ALL TERMS AND CONDITION ARE BINDING BETWEEN BOTH PARTIES, (“THE APPLICANT” herein after referred to as “PARTNER-DRIVER”), who independently owned and operates the business entity named, in according with Freelancer’s Partner-Drivers onboarding, with business location as registered with the California PUC/TCP credentials.

Partner-Drivers Onboarding and registration requirements

A California Transportation Charter Party (TCP) permit is required for pre-arranged passenger transport services like limousines, private shuttles, or specialized luxury cars, distinct from taxis. Issued by the California Public Utilities Commission (CPUC), this permit necessitates business registration, commercial insurance, drug testing, and driver safety checks.

Key Requirements and Details

  • Purpose: Required for chartering vehicles to individuals or groups for exclusive use.
  • Not a Taxi: TCP vehicles must be pre-arranged and cannot pick up "at the curb" or use meters.
  • Application Process: Involves filing and obtaining license permits with the CPUC.

CPUC/TCP Registration and Requirements:

  • Insurance: Commercial auto insurance.
  • Drug/Alcohol Testing: Enrollment in a mandated drug and alcohol testing program.
  • Background Check: Participation in the DMV Employer Pull-Notice System.
  • Vehicle Inspection: Vehicles seating more than 10 are subject to CHP safety inspections.
  • Driver Requirements: A valid California driver's license, clean driving record, and often a Class B license with P endorsement.
  • Los Angeles World Airports - Ground Transportation Permit Program

The “Applicant” a licensed CPUC TCP Certified Driver, with office or residence residing within Metro Southern California and San Diego County, by and between: (Freelancer LLC ®, a California Limited Liability Company, with its principal place of business at, 9891 Irvine Center Drive, Suite 200, Irvine, California (“Disclosing Party”),

And the Passenger, Partner-Driver “Applicant”, with its principal place of business at,

As listed withing their digital subscription/registration As listed withing their digital subscription/registration

(“Receiving Party”, the “Applicant/Passenger/Partner-Driver/Contractor” and/or “Parties address”).

Disclosing Party will be referred to individually as a “Freelancer, Freelance Drivers” and collectively as the “Freelancer LLC ®.”

Receiving Party will be referred to individually as a “Applicant, Passenger or Partner-Driver” and collectively as the “Parties.”

Digital activation, registration, or payment constitutes a legally binding electronic signature under the California Uniform Electronic Transactions Act (UETA) and the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

MASTER TERMS APPLICABLE TO ALL SERVICES

Freelancer LLC ® operates as an executive mobility and luxury black car chauffeur-hailing platform providing:

  • Technology-enabled booking services
  • Subscription membership programs
  • Loyalty-based incentives
  • Executive transportation coordination
  • Independent chauffeur network facilitation

All transportation services are performed exclusively by independently licensed California PUC/TCP-certified operators.

Freelancer LLC ® does not provide direct transportation services and does not employ chauffeurs.

SERVICE AVAILABILITY & RESERVATION POLICY

All services are subject to:

  • 36-hour advance reservation requirement
  • Availability of qualified Partner-Drivers
  • Subscription status
  • Regulatory compliance

Freelancer does not guarantee uninterrupted service, specific vehicle type, chauffeur assignment, pricing stability, or promotional eligibility.

CANCELLATION & BILLING POLICIES

Trip Cancellations

  • Cancellations prior to trip confirmation: Subject to standard administrative processing.
  • Cancellations within 12 hours of scheduled staging: Subject to $150 cancellation fee.
  • Cancellations after driver dispatch or during trip: Full-service charges may apply.
  • All services billed in 30-minute increments.
  • Holiday rates and surge adjustments may apply.

Subscription Cancellation Policy

  • 30-day written notice required.
  • Cancellation during current month results in billing for:
  • Current month

Following month

  • All privileges remain active until final service date.
  • Fees are non-refundable.

VEHICLE ALLOCATION & PASSENGER ACCOMMODATION POLICY

Freelancer maintains strict vehicle allocation standards to ensure:

  • Adequate cabin spaciousness
  • Proper seating capacity
  • Secure storage of passenger personal property
  • No compromise of passenger comfort
  • Compliance with safety standards

Partner-Drivers must maintain vehicles in full compliance with CPUC/TCP and insurance regulations.

PART I

PARTNER-DRIVER MEMBERSHIP PURCHASE AGREEMENT

1. Independent Contractor Status

Partner-Driver affirms:

  • Independently owned California business entity
  • Active CPUC/TCP credentials
  • Commercial insurance coverage
  • Compliance with DMV Pull-Notice
  • Enrollment in mandated drug/alcohol testing program
  • Enrollment with Los Angeles World Airports - Ground Transportation Permit Program (Los Angeles, Orange and Riverside County)

Partner-Driver is not an employee of Freelancer LLC ®.

2. Membership Subscription

Monthly Subscription Fee: $29.95

Processed via Stripe.

Benefits include:

  • 90-Day Free Trial
  • Access to enhanced compensation structure
  • Access Partner-Driver Loyalty Incentives and Earnings Program
  • Premium ride eligibility
  • Incentive postings within User Profile

Non-subscribed drivers are subject to standard compensation.

No subscription guarantees income or specific ride volume.

3. Compensation Structure

Partner-Drivers may earn up to 80% of passenger-paid fares, subject to:

  • Subscription status
  • Customer satisfaction ratings
  • Performance metrics
  • Completion of passenger-carrier trips

Compensation models may be modified at Company discretion.

4. Earnings and Payout

Partner-Drivers will have an option to manually retrieve earnings payout immediately upon completion of the ride (transaction fees apply per retrieval).

Partner-Driver may elect to retrieve earnings at the end of their day to decrease the amount of fees for retrieving.

All uncollected earnings will automatically be transferred to the Partner-Drivers financial institution or financial instrument weekly on the 9th day at midnight.

Ie.; Monday thru Sunday earnings will be transfers on Tuesday the following week. (No transaction fees required)

5. Referral Incentives

Referral eligibility requires valid Driver Identification Number (DIN) at registration. (See section 7 – for details)

6. Modification Rights

Freelancer reserves the right to modify:

  • Subscription pricing
  • Compensation structure
  • Loyalty benefits
  • Incentive eligibility

Consistent with California law.

PART II

PASSENGER MEMBERSHIP PURCHASE AGREEMENT

PASSENGER affirms:

  • Applicant is of legal age to enter into such Agreement
  • Applicant is not less than 18 years old
  • State Identification documents legal age
  • Applicant Agrees not to transport firearms or any other illegal substances
  • All Applicant under the age of 18 years of age must be accompanied by an adult or legal guardian

2. Membership Subscription

Monthly Subscription Fee: $9.95

Processed via Stripe.

Benefits include:

  • 30-day Free Trial
  • 15% Reduction off standard pricing
  • Passenger Loyalty and Incentives Program
  • Random Discount Fares
  • Random Invitation to participate in Entertainment Events
  • Random Cash Rewards
  • Discounts and Incentives on birthdays and wedding anniversaries

Inactive-subscribed passengers are subject to standard service pricing.

Inactive-subscribed passengers are not eligible for "Loyalty Rewards and Incentives Program"

User and subscribers are not guaranteed any specific incentive or rewards within the "Passenger Loyalty Rewards and Incentives Program".

Rewards and Incentives are subject to change without notice.

Any misuse or illegal activity will result in the immediate termination of your subscription.

3. Passenger Rating

Passenger have performance rating which could result in the immediate termination of all privileges due to discrimination, legal substance, adverse character disposition, disrespect, rude or lude conduct. Under Federal Rule of Evidence 404(a)

All drivers vehicles are equipped with video surveillance which records video and voice during all trip transportation.

Entering into this Agreement provides your legal consent to utilize such videos content as evidence of any type of disorderly conduct in a court of law.

Motive, Intent, Plan Federal Rule of Evidence (Rule 404(b)): Past bad acts can be admitted to show motive, opportunity, intent, preparation, plan, knowledge, identity, or absence of mistake, rather than mere propensity.

4. Referral Incentives

Referral eligibility requires valid Driver Identification Number (DIN) at registration of referral.

5. Loyalty Rewards – “Trip 50” Incentive Program

Eligibility Requirement

This incentive is available exclusively to Active Paid Subscription Members enrolled in the Freelancer Passenger Loyalty Program.

Upon the successful completion of forty-nine (49) paid and completed travel arrangements, the Subscriber becomes eligible for the “Trip 50” Loyalty Reward.

Reward Benefit

On the Subscriber’s 50th completed travel arrangement (“Trip 50”), Freelancer LLC ® shall provide:

  • The first thirty (30) minutes of the scheduled travel time at no charge

(FREE-OF-CHARGE).

Billing Terms

  • Any travel time exceeding the initial 30-minute complimentary period shall be billed in accordance with Freelancer’s standard Terms and Conditions

6. Mystery Rider Evaluation Program

Program Overview

The Mystery Rider Evaluation Program is an internal quality assurance initiative conducted by Freelancer LLC ® to evaluate and maintain the highest standards of chauffeur professionalism, service quality, and customer experience.

From time to time, Active Subscription Members may be randomly selected to participate as a “Mystery Rider.”

Selection & Confidentiality

  • Selection of Mystery Riders is conducted at the sole discretion of Freelancer LLC ®.

The evaluation is performed confidentially and without disclosure to the assigned chauffeur.

  • The participating passenger agrees to maintain strict confidentiality regarding their role in the evaluation process.

Participation Requirements

Selected participants are required to:

  • Complete their scheduled travel arrangement as normal.
  • Observe and evaluate the chauffeur’s performance based on service standards.
  • Submit a completed Chauffeur Performance Evaluation Questionnaire provided by Freelancer LLC ® within the required timeframe.

Failure to submit the evaluation may result in forfeiture of program benefits.

Compensation & Reimbursement

As consideration for participation:

  • The full cost of the Mystery Rider’s current travel arrangement (the evaluated trip) shall be reimbursed at 100%.
  • Reimbursement will be processed within forty-eight (48) hours following:
  • Receipt of the completed evaluation questionnaire, and
  • Internal review and validation by Freelancer LLC ®.

Program Conditions

  • The Mystery Rider benefit applies only to the specific trip under evaluation.
  • This program is non-transferable and available only to the selected Subscriber.
  • Freelancer LLC ® reserves the right to:
  • Approve or deny reimbursement based on incomplete or insufficient evaluation submissions
  • Modify, suspend, or terminate the program at any time

Purpose

This program is designed to:

  • Ensure consistent service excellence
  • Maintain professional chauffeur standards
  • Enhance the overall passenger experience
  • Support continuous improvement across the Freelancer platform

7. Passenger and Chauffeur Referral Incentive Program

Program Overview

The Passenger Referral Incentive Program is designed to reward Active Subscription Members for introducing new qualified passengers to the Freelancer LLC ® platform.

This program provides a loyalty-based travel incentive upon successful referral, activation, and verified engagement of a new subscribing passenger.

Eligibility Requirements

To qualify for the referral incentive, all of the following conditions must be satisfied:

1. The referring passenger must be an Active Paid Subscription Member in good standing.

2. The referred individual must:

  • Complete full registration on the Freelancer platform
  • Activate a Paid Subscription Membership
  • Complete a minimum of five (5) paid and completed scheduled travel arrangements
  • Submit a valid government-issued driver’s license number of the referring Active Member at the time of registration for identity verification

3. The referral must be properly attributed to the referring passenger at the time of registration.

4. All applicants must be of legal age, in accordance with Freelancer LLC ® Terms and Conditions.

Referral Validation

A referral shall be considered valid and eligible only when all of the following criteria are met:

  • The referred passenger’s registration is completed in full
  • Subscription payment is successfully processed
  • The referred Active Subscriber completes five (5) scheduled and paid travel arrangements
  • Identity verification is completed through submission of a valid driver’s license number of the referring Active Member
  • The referral is confirmed and recorded within Freelancer LLC ®’s system

Freelancer LLC ® reserves the right to verify, audit, and reject any referral submission that does not meet these validation requirements.

Referral Reward Benefit – Complimentary Travel Incentive

Active Subscription Members are eligible to receive a Complimentary Travel Reward for each qualified and validated referral.

A referral reward is earned only upon full satisfaction of all eligibility and validation requirements outlined above.

Reward Issuance

Upon fulfillment of all conditions:

  • The referring Active Subscription Member shall receive:

Passenger Referee (person referring the new passenger or chauffeur)

One (1) Complimentary Travel Reward equivalent to the “Mystery Rider” benefit, structured in accordance with the Mystery Rider Incentive Program.

Chauffeur Referee (person referring the new passenger or chauffeur)

Chauffeur’s Reward: $200 cash bonus upon “Referee” (person being referred) completing all terms, conditions and requirements. A referred Chauffeur driver must complete five (5) paid travel arrangements thereafter compensation is rewarded to the “Referring Chauffeur” upon the new incoming Chauffeur completing all terms, conditions and requirements herein.

Participation Requirement for Reward Redemption

To redeem the awarded benefit:

  • The referring Active Subscriber must:
  • Participate in the Mystery Rider Evaluation Program, and
  • Submit a completed Chauffeur Performance Evaluation Questionnaire within the required timeframe

Failure to submit the required evaluation may result in forfeiture of the reward benefit.

Compensation & Reimbursement

As consideration for participation:

The full cost of the evaluated travel arrangement (Mystery Rider trip) shall be reimbursed at 100%.

  • Reimbursement will be processed within forty-eight (48) hours, following:
  • Receipt of the completed evaluation questionnaire, and
  • Internal review and validation by Freelancer LLC ®

Program Conditions

  • The Passenger Referral benefit applies only to the specific trip designated for evaluation.

This program is:

  • Non-transferable
  • Available only to the eligible Active Subscriber

All travel services are billed in 30-minute increments.

The reward:

  • Has no cash value
  • May only be used by the referring Active Subscription Member

Freelancer LLC ® reserves the right to:

  • Approve or deny reimbursement based on incomplete or insufficient submissions
  • Modify, suspend, or terminate the program at any time

Limitations & Program Integrity

  • Referral rewards are granted per validated subscriber, not per registration attempt
  • Self-referrals, duplicate accounts, or fraudulent activity are strictly prohibited

Freelancer LLC ® reserves the right to:

  • Audit referral activity
  • Withhold or revoke rewards for abuse or non-compliance
  • Enforce all applicable Terms and Conditions

Purpose

This program is designed to:

  • Encourage organic growth through qualified passenger referrals
  • Maintain a verified and secure subscriber base

Reward loyal members for contributing to the expansion of the Freelancer platform

8. Birthdate & Wedding Anniversary Reward Incentive Program

Program Overview

The Birthdate & Wedding Anniversary Reward Incentive is an exclusive benefit offered to Active Subscription Members of Freelancer LLC ®, designed to recognize and celebrate important personal milestones.

Eligible members are granted a discounted travel benefit on their verified birthdate and registered wedding anniversary date.

Eligibility Requirements

To qualify for this reward, the following conditions must be met:

  • The passenger must be an Active Paid Subscription Member in good standing at the time of booking and travel.
  • The date of birth must be:
  • Accurately provided during registration
  • Verified against a valid government-issued California driver’s license on file

3. The wedding anniversary date must be:

  • Voluntarily provided by the member during registration
  • Recorded and maintained within the member’s profile

Freelancer LLC ® reserves the right to validate and confirm all submitted dates.

Reward Benefit

On the member’s verified:

  • Birthdate, and/or
  • Wedding Anniversary Date

The Active Subscription Member shall be entitled to:

An additional fifteen percent (15%) discount on scheduled travel arrangements

Reward Application

  • The 15% discount applies only to travel arrangements scheduled and performed on the exact qualifying date.
  • The reward must be applied at the time of booking or automatically recognized through the member’s profile within the Freelancer platform.
  • The discount applies to the base service fare and does not apply to:
  • Taxes
  • Gratuities
  • Surcharges
  • cancellation fees

Limitations & Conditions

This reward is:

  • Non-transferable
  • Valid only for the registered Active Subscriber
  • Limited to use once per qualifying date, per calendar year

If both qualifying dates fall within the same booking period, only one (1) promotional discount may be applied per trip unless otherwise authorized by Freelancer LLC ®.

  • The member must maintain an active subscription status at the time of service to qualify.

Program Integrity

Freelancer LLC ® reserves the right to:

  • Deny or revoke rewards for inaccurate or unverifiable information
  • Modify, suspend, or terminate this program at any time
  • Enforce compliance with all Terms and Conditions of the Passenger Loyalty Program

Purpose

This program is designed to:

  • Enhance the member experience through personalized rewards
  • Recognize important personal milestones
  • Strengthen long-term subscriber loyalty

Upon every completed interval of 500 Rides – Your loyalty rewards incentive program will AUTOMATICALLY REBOOTS allowing you to enjoy these special discounts and promotional benefits for the life of your subscription.

Occasionally Free Rides are offered – Some passengers may qualify for 100% fare discounts, making luxury travel more accessible, and Free of charge.

All notifications of these events will appear here on our Event Calendar and advertised on our Social Media Channels.

Passenger and Partner/Driver Loyalty Rewards Program Disclaimer

The Freelancer LLC ® Passenger and Partner/Driver Loyalty Rewards & Incentive Program (“Program”) is offered subject to all applicable terms, conditions, policies, and limitations as set forth in the Membership Subscription Service Agreement, available within the Freelancer mobile application.

By registering for or participating in this Program, all users acknowledge and agree that:

  • Program pricing, benefits, incentives, and rewards are subject to modification, suspension, or termination at any time, with or without prior notice, at the sole discretion of Freelancer LLC ®.
  • Participation in the Program, including registration and subscription, does not guarantee eligibility for, or receipt of, any specific reward, incentive, promotion, or benefit, whether advertised or otherwise described within the Program.

All rewards and incentives are:

  • Subject to availability
  • Contingent upon eligibility requirements
  • Dependent on successful completion of all applicable program conditions

Freelancer LLC ® reserves the right to:

  • Verify eligibility and compliance
  • Withhold, deny, or revoke rewards for failure to meet program requirements
  • Interpret and enforce all Program terms at its sole discretion

Any inconsistencies between promotional materials and the Membership Subscription Service Agreement shall be governed by the terms outlined in the official Agreement.

Participation in the Program constitutes full acceptance of all governing terms, conditions, and policies in Consistent with California law.

PART III

CONFIDENTIAL, PROPRIETARY, NON-COMPETE & NON-DISCLOSURE AGREEMENT

1. Definition of Confidential Information

Includes but not limited to:

  • Business models
  • Compensation structure
  • Loyalty program mechanics
  • Pricing methodology
  • Subscriber discounts
  • Trade secrets
  • Software architecture
  • Operational policies
  • Customer data
  • Marketing strategies

2. Non-Disclosure Obligations

Partner-Driver agrees to:

  • Maintain strict confidentiality
  • Not disclose proprietary information
  • Not reverse engineer systems
  • Not duplicate loyalty or compensation structures

3. Limited Non-Compete Provision

During active membership and for 12 months following termination, Partner-Driver shall not:

  • Replicate Freelancer’s proprietary compensation structure
  • Duplicate loyalty program architecture
  • Solicit Freelancer’s internal subscriber lists

This provision applies only to proprietary systems and not general chauffeur operations.

4. Ownership

All intellectual property remains exclusive property of Freelancer LLC ®.

No license is granted except for limited platform use.

5. Remedies

Breach may result in:

  • Immediate termination
  • Injunctive relief
  • Monetary damages
  • Attorney’s fees

DISPUTE RESOLUTION

All disputes shall be resolved through:

  • Mandatory mediation in Orange County, California
  • Binding arbitration under California law

Venue: Orange County, California.

LIMITATION OF LIABILITY

Freelancer LLC disclaims liability for:

  • Service delays
  • Cancellations
  • Indirect damages
  • Lost profits
  • Lost of personal property
  • Platform interruptions

To fullest extent permitted by law.

DIGITAL ACCEPTANCE & LEGAL BINDING EFFECT

By activating, registering, or submitting payment within the Freelancer mobile application, Partner-Driver:

  • Acknowledges full review of Agreement
  • Agrees to all terms and conditions
  • Consents to electronic records
  • Consent to video surveillance for safety
  • Passengers under the age of 18 years of age must be accompanied by an adult
  • Vehicle allocation is based on number of passenger and their personal property
  • Provides legally binding digital signature

Digital activation constitutes legal execution and applicant’s acceptance of all terms and conditions entered herein, past, revised or present.

SERVICE DISCLAIMER

Freelancer LLC®. (“Freelancer,” “Company”) operates as an executive mobility and luxury black car chauffeur-hailing platform providing transportation, hospitality-related services, technology-enabled booking solutions, subscription programs, and loyalty-based incentives through independently licensed professional chauffeurs and affiliated partners.

All services are provided subject to availability, regulatory compliance, and acceptance of Freelancer LLC®’s terms, policies, and operating standards. While Freelancer LLC® establishes service protocols, technology infrastructure, and compliance requirements, transportation services are performed by independently contracted, California PUC/TCP-licensed chauffeurs and partner operators who remain responsible for the operation, safety, and condition of their vehicles.

Freelancer LLC® does not guarantee uninterrupted service, specific chauffeur assignment, vehicle type, arrival times, pricing, discounts, loyalty rewards, or complimentary rides, as these may vary based on location, demand, subscription status, performance criteria, and operational conditions. Discounts, loyalty rewards, complimentary rides, and promotional benefits are subject to eligibility requirements, availability, modification, or discontinuation at the sole discretion of Freelancer LLC®.

Subscription services, pricing structures, fare allocations, and driver compensation models—including the ability for chauffeurs to earn up to 80% of passenger-paid fares—are subject to change and do not constitute a guarantee of income or savings. Past performance, incentives, or rewards do not guarantee future results.

Freelancer LLC® provides no warranties, express or implied, regarding fitness for a particular purpose, uninterrupted availability, or outcomes derived from use of the platform or services. To the fullest extent permitted by law, Freelancer LLC® disclaims liability for delays, cancellations, service disruptions, indirect damages, or losses arising from the use or inability to use its services, technology, or affiliated offerings.

By purchasing, subscribing to, or using any service provided by Freelancer LLC®, users acknowledge and agree to this disclaimer and all related terms, policies, and conditions governing the use of Freelancer LLC®’s platform and services.

All services are subject to availability requiring a 36 hour prior reservation and some services are only available only for registered/subscription members.
