PARTNER-CHAUFFEUR MEMBERSHIP SUBSCRIPTION AGREEMENT

Effective Date: 06-16-2026

This Partner-Chauffeur Membership Subscription Agreement ("Agreement") is entered into between Freelancer LLC®, a California Limited Liability Company ("Freelancer LLC®", "Company"), and the individual or business entity registering as a Partner-Chauffeur ("Partner-Chauffeur", "Independent Contractor", or "Member").

DIGITAL ACCEPTANCE

By registering, subscribing, activating an account, submitting onboarding documents, accepting passenger assignments, or using the Freelancer platform, the Partner-Chauffeur acknowledges and agrees to all terms contained herein.

Electronic acceptance shall constitute a legally binding electronic signature pursuant to:

• California Uniform Electronic Transactions Act (UETA)
• Electronic Signatures in Global and National Commerce Act (E-SIGN Act)

ARTICLE 1

INDEPENDENT CONTRACTOR STATUS

Partner-Chauffeur expressly acknowledges and agrees:

• Partner-Chauffeur is an independently owned business.
• Partner-Chauffeur is an independently licensed California CPUC/TCP operator.
• Partner-Chauffeur is not an employee of Freelancer LLC®.
• Partner-Chauffeur is not entitled to:
  • Employee benefits
  • Workers Compensation
  • Unemployment Insurance
  • Sick Leave
  • Vacation Pay
  • Retirement Benefits

Partner-Chauffeur shall maintain exclusive control over:

• Work schedule
• Vehicle ownership
• Route selection
• Operating expenses
• Employees, if any

ARTICLE 2

REGULATORY REQUIREMENTS

Partner-Chauffeur must maintain:

• Valid California driver's license.
• Active CPUC/TCP operating authority.
• Commercial auto insurance.
• DMV Employer Pull Notice enrollment.
• Drug and alcohol testing enrollment.
• CHP inspections where required.
• LAWA Ground Transportation Permit, if applicable.
• NELA Agreement where required.

Failure to maintain any required credentials may result in:

• Suspension
• Deactivation
• Termination

ARTICLE 3

INSURANCE REQUIREMENTS

Partner-Chauffeur shall maintain active:

Commercial Automobile Liability Insurance

in amounts required by:

• California law
• CPUC regulations
• Freelancer LLC® policies

Partner-Chauffeur shall provide:

• Certificate of Insurance (COI)
• Additional Insured Endorsement, where available
• Notice of Cancellation
• Annual Renewal Verification

Partner-Chauffeur shall notify Freelancer immediately of:

• Policy cancellation
• Lapse in coverage
• Material policy modifications

Failure to maintain insurance constitutes material breach.

ARTICLE 4

VEHICLE RESPONSIBILITIES

Partner-Chauffeur is solely responsible for:

• Vehicle ownership
• Registration
• Maintenance
• Repairs
• Fuel
• Tires
• Safety equipment
• Cleanliness
• Insurance
• Passenger safety

Vehicles must comply with:

• California law
• CPUC regulations
• Airport regulations
• Freelancer operating standards

Partner-Chauffeur Qualifications and Compliance

Partner-Chauffeurs and participating transportation operators must maintain all applicable licenses, permits, regulatory authority, commercial insurance, vehicle documentation, safety compliance, and professional qualification standards required by Freelancer LLC®, the California Public Utilities Commission, the California Department of Motor Vehicles, and any other applicable city, county, state, airport, or regulatory authority.

Where applicable, Partner-Chauffeurs must provide proof of valid California PUC TCP authority, approved vehicle authorization, commercial insurance coverage, driver qualification documentation, vehicle safety compliance, and any other documentation required by Freelancer or applicable law.

Approval to participate within the Freelancer platform is conditioned upon ongoing compliance, professional conduct, passenger safety, service quality, vehicle standards, and adherence to Freelancer's Executive Mobility policies and operational requirements.

Freelancer reserves the right to review, verify, restrict, suspend, or remove platform access if a Partner-Chauffeur or transportation operator fails to maintain required qualifications, applicable permits, insurance coverage, safety standards, professional conduct, or compliance obligations.

ARTICLE 5

MEMBERSHIP SUBSCRIPTION

Monthly Subscription:

$29.95

Benefits may include:

• Enhanced compensation opportunities
• Premium trip eligibility
• Driver loyalty incentives
• Priority trip opportunities
• Referral incentives
• Promotional programs

Benefits are:

• Subject to availability
• Not guaranteed
• Subject to modification

ARTICLE 6

COMPENSATION

Partner-Chauffeurs may earn:

Up to 80% of passenger-paid fares, subject to:

• Subscription status
• Passenger ratings
• Trip completion
• Service quality
• Performance standards

Freelancer LLC® makes no guarantee regarding:

• Income
• Ride volume
• Passenger demand
• Earnings levels

ARTICLE 7

REFERRAL PROGRAM

Partner-Chauffeurs may participate in:

• Passenger referral incentives
• Driver referral incentives

Eligibility:

• Active membership
• Valid referral code
• Compliance with all program terms

Programs may be modified or discontinued at the sole discretion of Freelancer LLC®.

ARTICLE 8

INDEMNIFICATION & HOLD HARMLESS

Partner-Chauffeur agrees to indemnify, defend, and hold harmless Freelancer LLC®, its members, officers, employees, affiliates, and representatives from any claims, damages, liabilities, losses, expenses, attorney fees, or causes of action arising from:

• Vehicle operation
• Traffic violations
• Negligence
• Passenger injury
• Property damage
• Vehicle accidents
• Misconduct
• Criminal acts
• Regulatory violations
• Insurance disputes
• Breach of this Agreement

This obligation survives termination of this Agreement.

ARTICLE 9

CONFIDENTIALITY & PROPRIETARY INFORMATION

Partner-Chauffeur acknowledges that:

All business information belonging to Freelancer LLC® is proprietary and confidential.

Including:

• Compensation structures
• Pricing systems
• Membership programs
• Loyalty programs
• Referral programs
• Passenger databases
• Marketing systems
• Operational methods
• Software
• Mobile applications
• Onboarding systems
• Business strategies

Partner-Chauffeur shall not:

• Copy
• Disclose
• Replicate
• Reverse engineer
• Distribute

any proprietary information.

ARTICLE 10

LIMITED NON-COMPETE

During active membership and for twelve (12) months thereafter,

Partner-Chauffeur shall not:

• Replicate Freelancer's proprietary loyalty systems
• Duplicate compensation programs
• Solicit confidential customer lists

This provision applies only to proprietary systems and not to lawful independent chauffeur operations.

ARTICLE 11

LIMITATION OF LIABILITY

Freelancer LLC® shall not be liable for:

• Lost income
• Loss of business
• Indirect damages
• Service interruptions
• Passenger cancellations
• Regulatory actions
• Force majeure events

To the fullest extent permitted by California law.

ARTICLE 12

DISPUTE RESOLUTION

The Parties agree to:

1. Good Faith Negotiation
2. Mediation
3. Binding Arbitration

California law governs this Agreement.

ARTICLE 13

ENTIRE AGREEMENT

This Agreement supersedes:

• Verbal conversations
• Emails
• Text messages
• Prior discussions

No modification shall be binding unless reduced to writing by Freelancer LLC®.

IMPORTANT MEMBERSHIP DISCLOSURE

The FREELANCER Partner-Chauffeur Loyalty Program is a paid, automatically renewing independent-business membership program.

Unless a different price or billing period is clearly disclosed and affirmatively accepted during enrollment:

Membership Fee: $29.95 per month
Billing Frequency: Monthly

Automatic Renewal: Membership renews automatically each month until canceled
Cancellation Notice: Thirty days' advance written or electronic notice
Refund Policy: Membership Fees are nonrefundable after processing, except when required by law or expressly authorized by FREELANCER LLC
Employment Status: Membership does not create employment, wages, employee benefits, guaranteed work, or entitlement to transportation assignments
Compensation Opportunity: An active Member may become eligible to earn up to eighty percent of the eligible Passenger-paid trip-duration fare, subject to performance, service classification, applicable agreements, and FREELANCER compensation standards
Transportation Assignments: Membership does not guarantee reservations, trip opportunities, minimum earnings, service volume, geographic exclusivity, or continued access to the Platform

By selecting the applicable acceptance checkbox, completing enrollment, submitting payment, or otherwise affirmatively accepting this Agreement, the Partner-Chauffeur authorizes FREELANCER LLC and its authorized payment processor to charge the disclosed Membership Fee to the approved payment method at each recurring billing interval until the Membership is properly canceled.

1. INTRODUCTION

FREELANCER LLC is a California Limited Liability Company operating as a California Passenger Stage Corporation and providing:

Executive Mobility, Powered by Intelligence.

The FREELANCER Partner-Chauffeur Loyalty Program was created to recognize, support, and reward qualified independent transportation professionals who demonstrate exceptional:

• Professionalism;
• Reliability;
• Passenger service;
• Vehicle presentation;
• Communication;
• Accountability;
• Operational readiness;
• Safety awareness;
• Discretion;
• Integrity; and
• Commitment to the FREELANCER service philosophy.

FREELANCER believes exceptional performance should create exceptional opportunity.

The Partner-Chauffeur Loyalty Program provides an organized business ecosystem through which qualified independent transportation providers may receive access to service opportunities, performance-based compensation advancement, professional recognition, loyalty benefits, business-development resources, and other approved Program features.

This Partner-Chauffeur Loyalty Program Membership Agreement ("Agreement") governs enrollment, payment, participation, qualifications, benefits, performance requirements, recurring billing, cancellation, suspension, and termination of the FREELANCER Partner-Chauffeur Loyalty Program ("Program" or "Membership").

This Agreement is entered into between:

FREELANCER LLC

and

the independently owned transportation business and its authorized owner or operator enrolling in the Program ("Partner-Chauffeur," "Member," "you," or "your").

By enrolling, the Member acknowledges that the Member has read, understood, and agreed to be legally bound by this Agreement.

2. PURPOSE OF THE PROGRAM

The purpose of the Partner-Chauffeur Loyalty Program is to establish a professional membership structure that:

• Recognizes qualified independent transportation businesses;
• Connects approved Members with eligible transportation opportunities;
• Supports service quality and Passenger satisfaction;
• Rewards exceptional performance and loyalty;
• Provides access to performance-based compensation opportunities;
• Encourages professional business development;
• Supports vehicle visibility and Featured Vehicle participation;
• Encourages regulatory and operational readiness;
• Promotes Passenger confidence;
• Strengthens long-term business relationships; and
• Creates opportunities for qualified Members to grow within the FREELANCER business ecosystem.

Membership is designed to support independent business participation.

Membership is not a purchase of employment, wages, guaranteed reservations, or guaranteed income.

3. INCORPORATION OF RELATED AGREEMENTS

This Agreement supplements and incorporates, as applicable, the current:

• FREELANCER Website and Mobile Application Terms and Conditions;
• Partner-Chauffeur Platform Access Agreement;
• Independent Transportation Provider Agreement;
• Confidential, Proprietary, Non-Competition, and Nondisclosure Agreement;
• Intellectual Property and Confidentiality Addendum;
• Privacy Policy;
• Payment Authorization;
• Compensation Schedule;
• Performance Rating and Loyalty Advancement Standards;
• Vehicle Standards and Fleet Specifications;
• Passenger Vehicle Protection requirements;
• Reservation and cancellation policies;
• Airport and venue operating requirements;
• Electronic Acceptance Addenda;
• Service-specific policies; and
• Any other agreement affirmatively accepted by the Member.

If a provision of this Agreement conflicts with a more specific Partner-Chauffeur service agreement, the more specific agreement controls with respect to that subject.

Nothing stated verbally modifies this Agreement unless confirmed through an authorized written or electronic amendment.

4. MEMBERSHIP IS SEPARATE FROM PASSENGER MEMBERSHIP

The Partner-Chauffeur Loyalty Program is separate from the FREELANCER Passenger Loyalty Program.

Partner-Chauffeur Membership does not automatically include:

• Passenger Membership;
• Passenger discounts;
• Passenger complimentary services;
• Passenger reward credits;
• Passenger promotional benefits;
• Corporate Passenger benefits; or
• Personal transportation privileges.

A Partner-Chauffeur who wishes to participate in the Passenger Loyalty Program must enroll separately and accept the applicable Passenger Program Agreement.

Similarly, a Passenger Loyalty Membership does not provide access to:

• Partner-Chauffeur transportation opportunities;
• Partner-Chauffeur compensation;
• Partner-Chauffeur Platform functions;
• Partner-Chauffeur loyalty advancement;
• Featured Vehicle business participation; or
• Independent transportation-provider benefits.

5. MEMBERSHIP ELIGIBILITY

To qualify for Membership, the applicant must satisfy all eligibility and onboarding requirements established by FREELANCER.

Eligibility may require:

• A legally established business entity;
• An active Employer Identification Number;
• A verifiable business address;
• Active and valid transportation operating authority;
• Required state and local licenses;
• Required airport and venue permits;
• Commercial automobile insurance;
• Valid vehicle registration;
• Approved vehicle classification;
• Vehicle inspection and approval;
• Valid driver licensing;
• Required professional endorsements;
• Identity verification;
• Business ownership verification;
• Banking verification;
• Background screening;
• Motor vehicle record review;
• Drug and alcohol testing compliance where applicable;
• DMV Employer Pull Notice participation where required;
• Sanctions and watchlist screening;
• Submission of a completed Form W-9;
• Mobile telephone verification;
• Email verification;
• Stripe onboarding;
• Acceptance of all required agreements; and
• Satisfaction of FREELANCER professional and operational standards.

FREELANCER may establish additional requirements based on:

• Vehicle category;
• Passenger capacity;
• geographic market;
• airport access;
• service classification;
• regulatory changes;
• insurance requirements;
• safety requirements; or
• other legitimate operational considerations.

Completion of an application does not guarantee approval.

6. BUSINESS-ENTITY REQUIREMENTS

The Partner-Chauffeur must participate through a legally recognized and independently operated business unless FREELANCER expressly authorizes another lawful structure.

The Member may be required to provide:

• Legal business name;
• fictitious business name;
• business formation documents;
• Secretary of State registration;
• statement of information;
• certificate of good standing;
• Employer Identification Number;
• business address;
• ownership information;
• responsible managing member information;
• bank-account information;
• tax documentation; and
• operating-authority information.

The Member must promptly notify FREELANCER of any change involving:

• Ownership;
• entity status;
• business name;
• operating authority;
• insurance;
• address;
• banking information;
• licensing;
• vehicle ownership; or
• authority to provide transportation.

FREELANCER may suspend Platform access while changed information is reviewed.

7. REGULATORY AND OPERATING AUTHORITY

Each Partner-Chauffeur is responsible for identifying, obtaining, maintaining, and complying with every license, permit, certificate, registration, insurance filing, and operating authority legally required for the services the Member provides.

Requirements may include:

• California Public Utilities Commission authority;
• Charter-Party Carrier permits or certificates;
• Passenger Stage Corporation authority where applicable;
• local business licenses;
• airport ground-transportation permits;
• commercial vehicle permits;
• vehicle inspection certificates;
• commercial insurance filings;
• driver endorsements;
• drug and alcohol testing enrollment;
• Employer Pull Notice enrollment; and
• any other federal, state, county, city, airport, venue, or regulatory authorization.

Membership does not grant transportation authority.

Platform approval does not replace governmental licensing or regulatory approval.

A Member may perform only those services legally permitted by the Member's active operating authority.

8. CONTINUING QUALIFICATION

Membership approval is conditional upon continuing qualification.

The Partner-Chauffeur must maintain current and valid:

• Operating authority;
• business registration;
• commercial automobile insurance;
• vehicle registration;
• driver licensing;
• required permits;
• inspection records;
• tax documentation;
• payment information;
• contact information;
• airport credentials;
• vehicle documentation; and
• other required records.

Documents must be renewed before expiration and submitted through the authorized Platform process.

FREELANCER may temporarily restrict or suspend access when documentation:

• Expires;
• becomes inactive;
• cannot be verified;
• is incomplete;
• appears altered;
• conflicts with governmental records; or
• no longer satisfies Program requirements.

No transportation opportunity may be accepted or completed while the Member lacks required legal authority, insurance, licensing, or vehicle approval.

9. ELECTRONIC ENROLLMENT AND ACCEPTANCE

Membership begins only after the applicant:

• Completes the required application;
• provides requested documentation;
• satisfies onboarding requirements;
• receives approval from FREELANCER;
• affirmatively accepts this Agreement;
• authorizes recurring payment; and
• completes the initial Membership payment.

Electronic acceptance may include:

• Selecting an acceptance checkbox;
• selecting an enrollment button;
• providing an electronic signature;
• entering an authorized verification code;
• completing Stripe onboarding;
• submitting the initial Membership payment; or
• using another approved electronic method.

Electronic acceptance has the same force and effect as a handwritten signature.

10. MEMBERSHIP FEE

Unless another amount is clearly disclosed and accepted, the Partner-Chauffeur Membership Fee is:

$29.95 per month.

The Membership Fee provides access to the Partner-Chauffeur Loyalty Program and its available business-support benefits.

The Membership Fee is separate from:

• Insurance costs;
• licensing costs;
• permit costs;
• background-screening costs;
• vehicle costs;
• fuel;
• maintenance;
• cleaning;
• tolls;
• parking;
• airport charges;
• taxes;
• mobile-device expenses;
• internet expenses;
• business expenses;
• payment-processing adjustments; and
• any other cost of operating the Member's independent business.

Membership Fees are not deducted from compensation unless the Member separately authorizes the deduction and applicable law permits it.

11. AUTOMATIC MONTHLY RENEWAL

Membership renews automatically each month until canceled.

By enrolling, the Member authorizes FREELANCER and its authorized payment processor to charge the Membership Fee to the Member's approved payment method at each monthly billing interval.

The renewal date will generally correspond with the original enrollment date.

The Member is responsible for:

• Maintaining a valid payment method;
• maintaining sufficient funds or credit;
• reviewing receipts;
• monitoring Membership status;
• updating billing information; and
• submitting timely cancellation notice when continued Membership is no longer desired.

Membership remains subject to the payment and cancellation provisions of this Agreement.

12. THIRTY-DAY CANCELLATION NOTICE

The Member may cancel Membership by providing at least thirty days' advance written or authorized electronic notice.

Cancellation may be submitted through:

• The Partner-Chauffeur mobile application;
• the Partner-Chauffeur account portal;
• the authorized Membership email address;
• an available online cancellation function;
• written correspondence;
• Customer Support; or
• another authorized method published by FREELANCER.

The cancellation request should include:

• Partner-Chauffeur's full name;
• legal business name;
• Driver Identification Number;
• registered email address;
• registered telephone number; and
• a clear statement requesting cancellation.

FREELANCER may use reasonable verification procedures to prevent unauthorized cancellation.

The thirty-day notice period begins when FREELANCER receives a complete and verifiable cancellation request.

13. EFFECT OF CANCELLATION

Membership remains active during the applicable thirty-day notice period, provided all Membership obligations remain satisfied.

The Member remains responsible for:

• Membership Fees becoming due during the notice period;
• valid charges incurred before cancellation;
• completing accepted reservations;
• safeguarding Passenger information;
• returning or destroying confidential materials;
• resolving outstanding complaints;
• responding to investigations;
• returning physical credentials where required; and
• complying with provisions that survive termination.

At the end of the cancellation period:

• Future recurring billing will stop;
• Member-only benefits will end;
• Partner-Chauffeur Platform access may be deactivated;
• pending opportunities may be reassigned;
• loyalty advancement may end;
• Featured Vehicle placement may be removed; and
• the Member may no longer represent itself as an active FREELANCER Partner-Chauffeur.

Cancellation does not erase performance, safety, transaction, payment, or compliance records.

14. NONREFUNDABLE MEMBERSHIP FEES

Membership Fees are nonrefundable after processing except when:

• Required by law;
• a duplicate payment occurred;
• an unauthorized payment is verified;
• a billing error occurred; or
• FREELANCER expressly approves a refund.

Membership Fees will not ordinarily be refunded because:

• The Member did not accept available opportunities;
• no opportunity was available in the Member's preferred area;
• the Member was temporarily unavailable;
• the Member's vehicle was not serviceable;
• the Member failed to maintain required documentation;
• the Member received fewer opportunities than expected;
• the Member's performance level changed;
• the Member was suspended for noncompliance;
• the Member voluntarily stopped participating; or
• the Member did not use Program benefits.

The Member is responsible for canceling Membership according to this Agreement.

15. FAILED OR REVERSED PAYMENTS

If a Membership payment is declined, reversed, disputed, or otherwise unsuccessful, FREELANCER may:

• Retry the payment;
• request updated billing information;
• suspend Member benefits;
• suspend Platform access;
• withhold future Program eligibility until the account is current;
• cancel Membership;
• reverse improperly issued benefits; or
• take other lawful account-protection measures.

A failed payment does not automatically cancel Membership.

The Member remains responsible for properly submitting a cancellation request.

Dishonest or abusive chargebacks may result in suspension or termination.

16. MEMBERSHIP BENEFITS

Subject to qualification, availability, performance, and Program rules,

Membership may provide access to:

• Eligible Passenger transportation opportunities;
• performance-based compensation progression;
• the opportunity to earn up to eighty percent of eligible Passenger-paid trip-duration fares;
• loyalty awards;
• performance incentives;
• recognition programs;
• professional profile visibility;
• Passenger exposure;
• Featured Vehicle participation;
• Vehicle Select opportunities;
• referral opportunities;
• professional-development materials;
• business-growth resources;
• service-quality feedback;
• technology and administrative support;
• Partner-Chauffeur communications;
• selected promotional programs;
• leadership-development opportunities;
• regional expansion opportunities; and
• other benefits approved by FREELANCER.

Not every benefit will be available to every Member.

Benefits may vary according to:

• Market;
• vehicle category;
• service classification;
• Member performance;
• Passenger demand;
• business readiness;
• operating authority;
• Member availability;
• vehicle serviceability;
• Member rating;
• Program level; and
• other legitimate operational factors.

17. MEMBERSHIP DOES NOT GUARANTEE OPPORTUNITIES

Membership provides eligibility to participate in the Program.

It does not guarantee:

• A minimum number of transportation opportunities;
• any specific reservation;
• a particular Passenger;
• a particular service area;
• a particular work schedule;
• continuous Platform activity;
• geographic exclusivity;
• a minimum fare;
• a minimum compensation amount;
• a minimum number of hours;
• Featured Vehicle reservations;
• Passenger selection;
• a specific loyalty award;
• business profitability; or
• continued Program participation.

Opportunities may depend on:

• Passenger demand;
• Passenger preferences;
• location;
• timing;
• vehicle classification;
• ratings;
• service history;
• vehicle availability;
• Member availability;
• reservation requirements;
• regulatory authority;
• airport permissions;
• operational readiness;
• quality standards; and
• other business considerations.

FREELANCER is not responsible for a Member's decision to purchase, lease, finance, modify, or maintain a vehicle based upon an expectation of future opportunities.

18. VOLUNTARY OPPORTUNITY ACCEPTANCE

Unless a separate written agreement lawfully provides otherwise, the Partner-Chauffeur may determine whether to accept an offered transportation opportunity.

The Member is not required to remain continuously available.

However, after accepting an opportunity, the Member must:

• Honor the confirmed reservation;
• arrive according to the required staging schedule;
• maintain professional communication;
• provide the confirmed vehicle unless substitution is approved;
• comply with applicable law;
• complete required inspections;
• provide professional service;
• protect Passenger privacy;
• submit required service information; and
• comply with accepted reservation terms.

Repeated acceptance followed by unjustified cancellation may affect:

• Performance ratings;
• loyalty level;
• compensation eligibility;
• Passenger confidence;
• Program standing; and
• continued Membership eligibility.

19. PERFORMANCE-BASED COMPENSATION OPPORTUNITY

Active Members may become eligible to earn up to eighty percent of the eligible Passenger-paid trip-duration fare.

The phrase "up to eighty percent" describes the maximum potential compensation level under applicable performance standards.

It is not:

• A guaranteed compensation percentage;
• a starting compensation level;
• a guaranteed fare;
• a guaranteed earning amount;
• a wage;
• a salary;
• an hourly guarantee; or
• a promise of minimum income.

The applicable percentage may be influenced by:

• Passenger ratings;
• Mystery Rider assessments;
• professionalism;
• reliability;
• punctuality;
• vehicle presentation;
• cleanliness;
• communication;
• reservation completion;
• Passenger satisfaction;
• service-quality compliance;
• documentation compliance;
• safety performance;
• Program loyalty;
• policy compliance; and
• other published performance measures.

Specific compensation rules may be contained in a separate Compensation Schedule.

20. ELIGIBLE PASSENGER-PAID TRIP-DURATION FARE

Unless otherwise stated in the applicable Compensation Schedule, Partner-Chauffeur compensation percentages apply only to the eligible Passenger-paid trip-duration fare.

The eligible fare may exclude:

• Membership Fees;
• taxes;
• governmental charges;
• airport charges;
• tolls;
• parking;
• gratuities;
• cancellation fees;
• damage charges;
• cleaning charges;
• insurance charges;
• regulatory fees;
• third-party charges;
• promotional credits funded by FREELANCER;
• refunds;
• chargebacks;
• disputed payments;
• administrative charges; and
• other excluded amounts identified in the Compensation Schedule.

Fares may be billed in thirty-minute increments or another clearly disclosed service increment.

The Member will receive applicable compensation information through the Platform, a reservation offer, a Compensation Schedule, or another authorized communication.

21. NO GUARANTEE OF EARNINGS

FREELANCER does not guarantee that a Member will:

• Earn a particular amount;
• recover the Membership Fee;
• recover vehicle expenses;
• receive a particular number of reservations;
• achieve the maximum compensation percentage;
• receive Featured Vehicle reservations;
• receive Passenger requests;
• earn a profit;
• qualify for rewards; or
• advance within the Program.

Actual business results may depend on:

• Passenger demand;
• performance;
• market conditions;
• vehicle expenses;
• financing costs;
• insurance costs;
• taxes;
• availability;
• vehicle category;
• geographic location;
• Member decisions;
• operating efficiency;
• service quality;
• regulatory compliance; and
• circumstances beyond FREELANCER's control.

Past results do not guarantee future results.

The Member should independently evaluate all costs, risks, and expected returns.

22. PERFORMANCE RATING

FREELANCER may maintain a Partner-Chauffeur Performance Rating based on objective and service-related information.

Performance information may include:

• Passenger ratings;
• Passenger compliments;
• Passenger complaints;
• Mystery Rider evaluations;
• reservation acceptance history;
• accepted-reservation completion;
• punctuality;
• staging compliance;
• communication;
• vehicle cleanliness;
• vehicle serviceability;
• appearance;
• courtesy;
• discretion;
• driving conduct;
• safety;
• inspection compliance;
• document status;
• policy compliance; and
• service recovery.

Performance ratings may affect:

• Compensation level;
• loyalty status;
• Platform visibility;
• Featured Vehicle eligibility;
• opportunity eligibility;
• rewards;
• recognition;
• leadership consideration; and
• continued Program participation.

FREELANCER may investigate disputed ratings and remove information determined to be fraudulent, retaliatory, irrelevant, or unsupported.

23. LOYALTY ADVANCEMENT

Qualified Members may advance through loyalty or performance levels established by FREELANCER.

Advancement may consider:

• Length of active Membership;
• completed reservations;
• Passenger satisfaction;
• reliability;
• professional conduct;
• vehicle quality;
• regulatory compliance;
• communication;
• business readiness;
• service consistency;
• leadership potential; and
• commitment to the FREELANCER philosophy.

Advancement may provide:

• Increased compensation eligibility;
• professional recognition;
• increased Passenger visibility;
• Featured Vehicle consideration;
• priority consideration for selected opportunities;
• leadership-development opportunities;
• training-support opportunities;
• regional-growth consideration; and
• other Program benefits.

Advancement is not automatic and is not guaranteed by length of Membership alone.

24. REWARDS AND INCENTIVES

FREELANCER may offer eligible Members:

• Cash incentives;
• service-completion bonuses;
• loyalty awards;
• recognition awards;
• referral rewards;
• quality-performance incentives;
• promotional benefits;
• vehicle-presentation awards;
• professional-development opportunities; and
• other approved incentives.

Each incentive may contain separate requirements involving:

• Active Membership;
• performance level;
• completed reservations;
• payment status;
• service category;
• geographic market;
• promotion dates;
• Passenger ratings;
• policy compliance; and
• other eligibility standards.

Rewards are not guaranteed and do not become earned until all applicable conditions have been satisfied.

FREELANCER may correct, reverse, or withhold a reward issued through:

• Error;
• fraud;
• duplicate activity;
• canceled service;
• refunded payment;
• chargeback;
• manipulated rating; or
• violation of Program rules.

25. ACTIVE PAID MEMBERSHIP REQUIREMENT

Unless otherwise stated, Partner-Chauffeur loyalty awards, compensation advancement, cash incentives, referral benefits, recognition benefits, and other Member-only opportunities require an active paid Membership in good standing.

A Member whose Membership is:

• Unpaid;
• suspended;
• expired;
• canceled;
• terminated; or
• otherwise inactive

may lose access to Member-only benefits.

An independent transportation provider who does not participate in the Membership Program may, if separately approved by FREELANCER, receive access to a standard compensation structure without Member loyalty advancement or Member-only benefits.

Membership is not required as a condition of employment because Partner-Chauffeurs are not being enrolled as FREELANCER employees.

26. FEATURED VEHICLE PROGRAM

Qualified Members may apply to participate in the FREELANCER Featured Vehicle Program.

Featured placement may provide:

• Professional vehicle photography;
• increased Platform visibility;
• enhanced Passenger exposure;
• display of vehicle features;
• display of luxury amenities;
• display of Passenger capacity;
• Select Choice eligibility;
• additional booking consideration; and
• professional recognition.

Featured Vehicle participation is based on:

• Vehicle classification;
• vehicle condition;
• presentation;
• interior quality;
• exterior quality;
• inspection results;
• Passenger comfort;
• operating authority;
• insurance;
• Member performance;
• market demand; and
• Program availability.

Featured status does not guarantee reservations or income.

27. VEHICLE SELECT AND SELECT CHOICE

Vehicle Select or Select Choice may permit a Passenger to request a particular approved vehicle.

When a Passenger reservation expressly confirms the Member's vehicle, the Member must provide that vehicle unless:

• The vehicle becomes mechanically unserviceable;
• an accident occurs;
• an inspection issue arises;
• an insurance issue arises;
• a safety concern develops;
• governmental action prevents operation; or
• FREELANCER approves a replacement.

The Member shall not independently substitute a vehicle without authorization.

Unauthorized substitution may result in:

• Reservation cancellation;
• compensation adjustment;
• Passenger refund;
• performance review;
• suspension; or
• removal from the Featured Vehicle Program.

Vehicle Select opportunities remain subject to Passenger demand and availability.

28. VEHICLE OWNERSHIP AND RESPONSIBILITY

The Partner-Chauffeur is responsible for acquiring, financing, leasing, registering, insuring, maintaining, repairing, cleaning, and operating the Member's vehicle.

FREELANCER does not:

• Purchase the vehicle for the Member;
• guarantee vehicle financing;
• guarantee vehicle value;
• guarantee that a vehicle will qualify;
• guarantee that a qualified vehicle will remain approved;
• reimburse general vehicle expenses;
• guarantee sufficient reservations to pay vehicle costs; or
• assume ownership responsibility for the vehicle.

The Member must independently evaluate whether a vehicle purchase, lease, modification, or financing decision is financially appropriate.

29. VEHICLE STANDARDS

Every participating vehicle must comply with the current FREELANCER

Vehicle Standards and Fleet Specifications.

Standards may address:

• Vehicle category;
• model-year considerations;
• exterior condition;
• interior condition;
• cleanliness;
• sanitation;
• mechanical serviceability;
• preventive maintenance;
• Passenger comfort;
• amenities;
• luggage capacity;
• commercial insurance;
• registration;
• cameras;
• recording equipment;
• modifications;
• inspection;
• photographs;
• video documentation; and
• regulatory compliance.

Vehicle approval may be suspended or withdrawn when the vehicle no longer satisfies applicable standards.

Membership does not guarantee permanent approval of a vehicle.

30. VEHICLE INSPECTIONS

The Member must cooperate with required:

• Initial inspections;
• periodic inspections;
• annual inspections;
• pre-service inspections;
• post-service inspections;
• incident-based inspections;
• damage inspections;
• sanitation inspections; and
• re-entry inspections.

FREELANCER may require photographic or video documentation.

A vehicle may not return to active service following damage, contamination, mechanical failure, or a material safety concern until it has been inspected and cleared.

The Member must not falsify, alter, conceal, or fabricate inspection information.

Falsification may result in immediate termination.

31. COMMERCIAL INSURANCE

The Member must maintain commercial automobile insurance meeting all applicable:

• Legal requirements;
• regulatory requirements;
• operating-authority requirements;
• airport requirements;
• vehicle-category requirements; and
• FREELANCER verification standards.

The Member may be required to provide:

• Certificate of Insurance;
• policy declarations;
• endorsements;
• additional-insured documentation;
• waiver of subrogation;
• vehicle schedule;
• driver schedule; and
• proof of active coverage.

The Member must immediately notify FREELANCER of:

• Cancellation;
• nonrenewal;
• lapse;
• reduction in coverage;
• exclusion;
• claim affecting serviceability; or
• material policy change.

A vehicle shall not be operated through the Program without required active insurance.

32. PARTNER-CHAUFFEUR CONDUCT

Members must conduct themselves professionally and lawfully.

Required conduct includes:

• Respecting Passengers;
• protecting Passenger privacy;
• maintaining discretion;
• communicating professionally;
• following lawful safety requirements;
• arriving punctually;
• maintaining a clean vehicle;
• following reservation instructions;
• protecting Passenger property;
• avoiding discrimination;
• avoiding harassment;
• avoiding retaliation;
• avoiding intoxication;
• avoiding unsafe driving;
• accurately reporting service activity; and
• cooperating with legitimate investigations.

Prohibited conduct includes:

• Violence;
• threats;
• harassment;
• sexual misconduct;
• discriminatory conduct;
• reckless driving;
• impaired driving;
• off-Platform solicitation;
• payment diversion;
• false documentation;
• false damage claims;
• unauthorized Passenger recording;
• unauthorized data disclosure;
• impersonation;
• account sharing;
• fraud;
• manipulation of location information; and
• interference with Platform security.

33. PASSENGER PRIVACY AND CONFIDENTIALITY

Passenger information may be used only to complete the authorized reservation.

The Member shall not use Passenger information to:

• Contact a Passenger for unrelated purposes;
• market independent services;
• arrange unauthorized off-Platform transportation;
• publish Passenger activity;
• reveal Passenger locations;
• reveal celebrity, executive, corporate, or personal travel information;
• solicit personal relationships;
• conduct independent background research; or
• share information with unauthorized persons.

Passenger information may include:

• Name;
• telephone number;
• pickup location;
• destination;
• reservation history;
• travel schedule;
• payment information;
• corporate affiliation;
• accessibility needs;
• language preference;
• personal preferences; and
• other nonpublic information.

Confidentiality obligations survive Membership cancellation or termination.

34. NO OFF-PLATFORM DIVERSION

The Member shall not use FREELANCER Passenger information, reservations, relationships, technology, or business opportunities to divert transportation away from the Platform.

Prohibited diversion includes:

• Soliciting direct payment from a FREELANCER Passenger;
• offering a lower off-Platform price;
• providing personal booking information for future direct reservations;
• canceling a Platform reservation and recreating it privately;
• using Passenger data for a competing platform;
• bypassing authorized payment systems; or
• encouraging a Passenger to avoid FREELANCER fees or policies.

This restriction protects confidential business relationships and does not prohibit lawful independent business activity developed without misuse of FREELANCER information or relationships.

35. PLATFORM AND MOBILE APPLICATION USE

The Member may use the Partner-Chauffeur application only for authorized business participation.

The Member shall not:

• Share account credentials;
• permit an unauthorized driver to use the account;
• falsify location information;
• manipulate reservation status;
• interfere with navigation;
• use automated reservation-acceptance tools;
• reverse engineer the application;
• scrape data;
• introduce malicious software;
• bypass security controls;
• copy proprietary information; or
• use the Platform to support a competing service through unauthorized information.

FREELANCER may require:

• One-time-code verification;
• facial recognition;
• device verification;
• location permissions;
• camera access;
• mobile-phone verification;
• biometric authentication; and
• other reasonable security measures.

36. RIDE ACTIVATION AND ONE-TIME CODES

A Partner-Chauffeur may be required to receive an authorized Passenger one-time code before navigation or transportation service is activated.

Without the required code, the Partner-Chauffeur may not:

• Activate the reservation;
• begin the navigational process;
• falsely mark the Passenger as onboard;
• begin billable transportation; or
• bypass the security procedure.

Verbal directions may be accepted during temporary GPS signal loss when permitted by policy.

When navigation service is restored, the approved application process shall resume.

Entry Codes, corporate key cards, or other account credentials do not replace a required Passenger one-time code unless FREELANCER expressly authorizes the replacement.

37. RESERVATION STAGING

The Member may be required to arrive and stage thirty minutes before the scheduled Passenger service time.

The staging period may be used to:

• Confirm location;
• prepare the vehicle;
• complete the pre-trip inspection;
• review reservation requirements;
• verify amenities;
• communicate arrival;
• complete Passenger verification; and
• ensure professional readiness.

Staging requirements may vary by:

• Service category;
• airport;
• venue;
• Passenger request;
• vehicle type;
• geographic market; and
• reservation instructions.

Failure to comply with required staging procedures may affect performance standing and compensation eligibility.

38. ACCEPTED RESERVATION RESPONSIBILITY

Once the Member accepts a reservation, the Member assumes responsibility for preparing to complete it.

The Member must promptly notify FREELANCER of:

• Mechanical failure;
• accident;
• illness affecting safe operation;
• insurance issue;
• licensing issue;
• delayed arrival;
• road closure;
• emergency;
• vehicle contamination;
• security concern; or
• any circumstance that may prevent timely completion.

The Member shall not wait until the scheduled pickup time to report a known service problem.

FREELANCER may reassign a reservation when reasonably necessary to protect the Passenger or maintain service continuity.

39. INDEPENDENT BUSINESS RELATIONSHIP

The Member is an independently established business and not an employee of FREELANCER merely because the Member participates in the Program.

Except where a separate written agreement or applicable law provides otherwise, the Member is not entitled to:

• Salary;
• hourly wages;
• overtime pay;
• paid vacation;
• sick leave;
• unemployment benefits;
• workers' compensation through FREELANCER;
• health insurance;
• retirement benefits;
• payroll-tax withholding;
• employee expense reimbursement;
• employee scheduling; or
• other employee benefits.

The Member is responsible for:

• Business operations;
• taxes;
• insurance;
• permits;
• licensing;
• vehicle expenses;
• equipment;
• business decisions;
• operating costs; and
• compliance with applicable law.

The parties acknowledge that legal classification is determined by applicable law and the actual nature of the relationship.

No provision is intended to misclassify any person or waive nonwaivable rights.

40. NO AGENCY, PARTNERSHIP, OR JOINT VENTURE

The terms "Partner-Chauffeur," "Partner," "Membership," "Opportunity," and "business ecosystem" describe the Member's commercial participation in the FREELANCER Program.

Those terms do not independently create:

• A legal partnership;
• joint venture;
• fiduciary relationship;
• franchise;
• agency;
• employment relationship;
• authority to bind FREELANCER; or
• ownership interest in FREELANCER.

The Member may not:

• Sign an agreement on behalf of FREELANCER;
• make unauthorized promises;
• represent that the Member owns FREELANCER;
• incur debt in FREELANCER's name;
• represent that the Member is a corporate officer;
• make unauthorized public statements on behalf of FREELANCER; or
• use FREELANCER branding outside authorized participation.

41. TAX RESPONSIBILITY

The Member is responsible for determining and satisfying all tax obligations associated with the Member's business.

These obligations may include:

• Federal income tax;
• state income tax;
• self-employment tax;
• local business tax;
• payroll obligations for the Member's personnel;
• sales or use tax where applicable;
• business-property tax; and
• other legally required taxes.

FREELANCER may issue a Form 1099 or other tax information when legally required.

The Member should obtain independent tax and accounting advice.

FREELANCER does not provide individualized tax advice.

42. MEMBER PERSONNEL AND SUBSTITUTE DRIVERS

The Member may not permit another person to access the Platform or provide a FREELANCER reservation unless that person has been:

• Properly licensed;
• legally authorized;
• insured;
• disclosed;
• screened;
• approved by FREELANCER; and
• assigned through the authorized process.

Approval of a substitute driver is not guaranteed.

The Member remains responsible for:

• Its personnel;
• payroll obligations;
• workers' compensation obligations;
• training;
• supervision;
• licensing;
• insurance;
• conduct; and
• legal compliance.

Unauthorized driver substitution is grounds for immediate suspension or termination.

43. PROFESSIONAL DEVELOPMENT

FREELANCER may provide optional or required information concerning:

• Platform operation;
• Passenger service expectations;
• safety policies;
• privacy;
• reservation procedures;
• vehicle presentation;
• regulatory compliance;
• communication;
• service recovery;
• technology use; and
• Program standards.

Information concerning FREELANCER systems and Passenger-service expectations does not transfer responsibility for the Member's independent business operations.

The Member remains responsible for obtaining any professional, legal, licensing, safety, or regulatory training required by law.

44. BUSINESS-GROWTH OPPORTUNITIES

Qualified Members may be considered for growth opportunities, including:

• Fleet Manager;
• Division Manager;
• Operational Leadership Support;
• Partner-Chauffeur Training Support;
• Service Quality Oversight;
• Regional Growth Support;
• Regional Manager;
• market-development support; and
• other approved roles.

Consideration may depend on:

• Performance;
• leadership ability;
• communication;
• business experience;
• regulatory knowledge;
• service quality;
• loyalty standing;
• geographic availability;
• education;
• logistics experience; and
• Program needs.

Consideration does not guarantee appointment, promotion, compensation, relocation support, employment, or a long-term position.

Any new relationship must be established through a separate written agreement.

45. REFERRAL PROGRAM

FREELANCER may offer referral benefits to qualified active Members.

A referral may require:

• Use of the Member's Driver Identification Number;
• submission through an authorized process;
• approval of the referred applicant;
• completion of onboarding;
• active paid Membership;
• satisfaction of a waiting period;
• completion of qualifying service; and
• compliance with promotional terms.

Referral rewards may be denied or reversed when:

• The applicant was already known to FREELANCER;
• the account is fraudulent;
• information is falsified;
• the Member refers itself;
• duplicate submissions occur;
• the qualifying Membership payment is reversed; or
• the applicable conditions are not completed.

Referral benefits do not create recruiting employment, agency, commission-sales, franchise, or brokerage rights.

46. MEMBER REPRESENTATIONS

The Member represents and warrants that:

• All submitted information is accurate;
• all documents are authentic;
• all licenses and permits are valid;
• all insurance is active;
• the Member is legally authorized to operate;
• the Member has authority to enter this Agreement;
• the Member will comply with applicable law;
• the Member will not misuse Passenger information;
• the Member will not falsify service activity;
• the Member will maintain vehicle serviceability;
• the Member will promptly report material changes; and
• the Member will not participate while legally or operationally disqualified.

FREELANCER may rely upon these representations when approving and maintaining Membership.

47. AUDIT AND VERIFICATION

FREELANCER may periodically verify:

• Business status;
• operating authority;
• insurance;
• vehicle registration;
• driver licensing;
• inspection status;
• airport permits;
• tax documentation;
• account ownership;
• bank information;
• vehicle identity;
• service records; and
• compliance information.

The Member must reasonably cooperate with verification requests.

FREELANCER may contact:

• Government agencies;
• insurance carriers;
• licensing authorities;
• screening providers;
• financial verification providers;
• airport authorities; and
• other authorized sources.

Failure to cooperate may result in suspension or termination.

48. INCIDENT AND ACCIDENT REPORTING

The Member must promptly report:

• Vehicle accidents;
• Passenger injuries;
• allegations of misconduct;
• property damage;
• police contact;
• citations affecting service;
• insurance claims;
• vehicle breakdowns;
• safety complaints;
• lost Passenger property;
• data-security incidents; and
• other material service events.

Reports must be accurate and complete.

The Member must preserve relevant:

• Photographs;
• videos;
• inspection records;
• communications;
• witness information;
• police reports;
• insurance information; and
• reservation records.

Reporting an incident does not constitute an admission of liability.

49. PROPRIETARY INFORMATION

The FREELANCER Partner-Chauffeur Program and its related materials constitute proprietary information owned by or licensed to FREELANCER LLC.

Protected information may include:

• Compensation structures;
• loyalty systems;
• performance systems;
• reservation-allocation methods;
• Passenger information;
• pricing methods;
• vehicle classifications;
• administrative workflows;
• software;
• source code;
• application interfaces;
• onboarding procedures;
• verification processes;
• operational plans;
• expansion plans;
• training materials;
• marketing strategies;
• customer lists;
• Partner-Chauffeur lists;
• corporate accounts;
• security procedures;
• key-card systems;
• one-time-code systems; and
• trade secrets.

Membership grants only a limited, revocable, nonexclusive, and nontransferable right to use authorized Platform features for Program participation.

No ownership interest is transferred.

50. FREELANCER PROPRIETARY BRAND RIGHTS

The following trademarks, service marks, slogans, commercial expressions, and associated goodwill are proprietary rights and property of FREELANCER LLC:

WE DON'T FILL SEATS...WE CREATE SPACE®™

WE DON'T CREATE BUSINESSES...WE CREATE LEGACIES®™

These expressions may not be copied, altered, registered, reproduced, distributed, licensed, incorporated into another business, used for search-engine advertising, used in unauthorized social-media branding, or otherwise commercially exploited without prior written authorization from FREELANCER LLC.

The Member may use approved branding only:

• During active Membership;
• in the approved format;
• for an authorized purpose;
• in compliance with brand standards; and
• without implying ownership or authority beyond the Member's approved status.

All branding rights end immediately upon cancellation, suspension, or termination unless FREELANCER provides written authorization otherwise.

51. CONFIDENTIALITY

The Member shall protect all nonpublic FREELANCER information.

Confidential information may include:

• Passenger records;
• corporate-account information;
• pricing;
• compensation;
• technology;
• software;
• operational procedures;
• security procedures;
• business plans;
• expansion strategies;
• marketing information;
• service-provider information;
• internal communications;
• financial information;
• performance methods; and
• other information reasonably understood to be confidential.

The Member shall not:

• Disclose confidential information;
• use it for an unauthorized purpose;
• provide it to a competitor;
• publish it online;
• retain it after it is no longer required;
• copy it unnecessarily; or
• use it to divert business.

Confidentiality obligations survive Membership termination.

Trade-secret obligations continue for as long as the information remains legally protected as a trade secret.

52. DATA SECURITY

The Member must use reasonable safeguards to protect:

• Passenger information;
• account credentials;
• reservation data;
• location data;
• payment information;
• corporate-account information;
• one-time codes;
• Entry Codes;
• application access; and
• confidential business information.

The Member must promptly report:

• Lost devices;
• stolen devices;
• compromised passwords;
• unauthorized account access;
• suspicious communications;
• phishing attempts;
• data disclosure;
• malware; and
• other security incidents.

The Member may not store Passenger information outside authorized systems unless legally required and expressly permitted.

53. SUSPENSION

FREELANCER may temporarily suspend Membership or Platform access when reasonably necessary because of:

• Expired documentation;
• failed payment;
• insurance concerns;
• operating-authority concerns;
• safety concerns;
• Passenger complaints;
• vehicle condition;
• identity-verification issues;
• suspected fraud;
• account compromise;
• investigation;
• legal process;
• regulatory inquiry;
• policy violations; or
• other legitimate operational concerns.

During suspension:

• New opportunities may be unavailable;
• existing opportunities may be reassigned;
• compensation review may be delayed;
• Featured Vehicle listings may be hidden;
• Member benefits may be unavailable; and
• the Member may be required to submit corrective documentation.

Suspension does not necessarily terminate Membership or recurring billing.

When appropriate, FREELANCER will notify the Member of the steps necessary to seek reinstatement.

54. TERMINATION BY FREELANCER

FREELANCER may terminate Membership immediately or after notice when the Member:

• Loses required operating authority;
• loses required insurance;
• submits false documentation;
• permits an unauthorized driver to operate;
• commits fraud;
• threatens or harms a Passenger;
• engages in discrimination or harassment;
• diverts Passengers off Platform;
• falsifies damage or inspection reports;
• compromises Passenger privacy;
• drives while impaired;
• engages in reckless conduct;
• misuses proprietary information;
• materially violates this Agreement;
• repeatedly fails accepted reservations;
• manipulates Platform information;
• fails to pay Membership Fees; or
• creates a serious safety, legal, regulatory, or reputational risk.

FREELANCER may also discontinue Membership when the Program or applicable market is closed.

Termination does not eliminate obligations arising before termination.

55. EFFECT OF TERMINATION

Upon termination:

• Platform access may end immediately;
• future opportunities may be canceled;
• accepted reservations may be reassigned;
• Featured Vehicle placement will end;
• Member-only benefits will end;
• branding rights will end;
• confidential information must be returned or destroyed;
• valid unpaid balances remain due;
• pending investigations may continue; and
• surviving provisions remain enforceable.

The Member shall immediately stop representing itself as:

• An active FREELANCER Partner-Chauffeur;
• an authorized FREELANCER representative;
• a FREELANCER division;
• a FREELANCER employee; or
• an authorized user of FREELANCER intellectual property.

56. REAPPLICATION

A former Member may submit a new application unless permanently disqualified.

Reapplication does not guarantee approval.

FREELANCER may consider:

• Reason for prior cancellation or termination;
• payment history;
• performance history;
• Passenger complaints;
• safety history;
• regulatory status;
• document status;
• vehicle qualification;
• market availability; and
• corrective action.

A returning Member may be required to:

• Repeat onboarding;
• complete new screening;
• submit updated documents;
• pay the current Membership Fee;
• accept current agreements; and
• satisfy current Program standards.

Previous loyalty status is not automatically restored.

57. CHANGES TO MEMBERSHIP FEES

FREELANCER reserves the right to change the Membership Fee.

Before applying an increased recurring charge, FREELANCER will provide the notice and obtain any consent required by applicable law and the governing enrollment terms.

A price-change notice may identify:

• The new price;
• the effective date;
• the billing interval;
• cancellation rights; and
• any required acceptance action.

A Member who does not agree to the revised price may cancel according to the applicable cancellation procedure.

58. CHANGES TO PROGRAM BENEFITS

FREELANCER may add, modify, replace, restrict, suspend, or discontinue

Program benefits based on:

• Business conditions;
• market demand;
• regulatory requirements;
• insurance requirements;
• technology;
• fraud prevention;
• vehicle availability;
• Passenger demand;
• operating costs;
• Program sustainability; or
• other legitimate operational considerations.

A change to future benefits does not guarantee a refund of a previously processed Membership Fee.

FREELANCER may immediately restrict a benefit when necessary for:

• Safety;
• legal compliance;
• security;
• fraud prevention;
• insurance compliance; or
• regulatory compliance.

59. PROGRAM DISCONTINUATION

FREELANCER may discontinue the Partner-Chauffeur Loyalty Program or its availability in a particular market.

When reasonably practicable, FREELANCER will provide notice identifying:

• The discontinuation date;
• the final billing date;
• treatment of active Membership periods;
• treatment of pending opportunities;
• treatment of earned rewards; and
• any available transition process.

No new Membership Fee will be charged for a period beginning after the final Program termination date.

Immediate discontinuation may occur when required by law, regulation, insurance conditions, insolvency, safety concerns, or circumstances beyond FREELANCER's reasonable control.

60. COMMUNICATIONS

The Member consents to receiving transactional and operational communications concerning:

• Membership;
• billing;
• payment failure;
• reservations;
• Passenger staging;
• documentation;
• insurance;
• operating authority;
• performance;
• rewards;
• investigations;
• safety;
• policy changes;
• Program changes;
• suspension;
• cancellation; and
• termination.

Communications may be delivered through:

• Email;
• text message;
• mobile-application notification;
• telephone;
• account notification; or
• mail.

The Member must maintain current contact information.

Failure to review communications does not eliminate the Member's responsibility to comply with applicable requirements.

61. PRIVACY

Information collected through Membership is governed by the FREELANCER Privacy Policy and applicable notices.

Information may include:

• Identity information;
• business information;
• ownership information;
• tax information;
• bank information;
• vehicle information;
• insurance information;
• licensing information;
• biometric information where separately disclosed;
• location information;
• service activity;
• performance information;
• Passenger feedback;
• communications;
• inspection information; and
• security information.

FREELANCER may use authorized third parties for:

• Payment processing;
• identity verification;
• business verification;
• background screening;
• driving-record review;
• sanctions screening;
• insurance verification;
• communications;
• hosting;
• analytics;
• fraud prevention; and
• legal compliance.

62. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, the Program and Platform are provided on an "as available" basis.

FREELANCER does not warrant that:

• Opportunities will always be available;
• Platform access will be uninterrupted;
• a particular Passenger will select the Member;
• a particular vehicle will remain eligible;
• a particular compensation percentage will be achieved;
• a particular reward will be earned;
• a particular market will remain active;
• third-party services will remain available; or
• Membership will produce a profit.

Nothing in this Agreement excludes any legal right or warranty that cannot lawfully be waived.

63. LIMITATION OF LIABILITY

To the maximum extent permitted by law, FREELANCER shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from:

• Lack of opportunities;
• lost profits;
• vehicle purchase decisions;
• financing obligations;
• business expenses;
• Platform interruptions;
• Passenger cancellations;
• unavailable markets;
• third-party failures;
• unavailable Featured Vehicle reservations;
• account suspension;
• device incompatibility; or
• circumstances beyond FREELANCER's reasonable control.

Nothing in this Agreement limits liability that cannot legally be limited.

64. INDEMNIFICATION

To the extent permitted by law, the Member agrees to defend, indemnify, and hold harmless FREELANCER LLC and its authorized affiliates, officers, managers, employees, representatives, licensors, and service providers from claims, losses, liabilities, penalties, damages, and reasonable legal expenses arising from:

• The Member's transportation operations;
• vehicle ownership or operation;
• Member personnel;
• failure to maintain legal authority;
• failure to maintain insurance;
• tax obligations;
• regulatory violations;
• Passenger injury or property damage caused by the Member;
• false information;
• violation of this Agreement;
• infringement of third-party rights;
• privacy violations;
• off-Platform conduct;
• negligent conduct; or
• intentional misconduct.

This provision does not apply to the extent a claim results from conduct for which FREELANCER is legally responsible and cannot lawfully transfer responsibility.

65. DISPUTE RESOLUTION

Before commencing formal proceedings, the parties agree to attempt good-faith informal resolution.

Unless prohibited by law or controlled by another written agreement, a dispute may be subject to:

1. Written notice describing the dispute;
2. Good-faith informal discussion;
3. Mediation in Orange County, California; and
4. Binding arbitration in Orange County, California.

Any applicable arbitration agreement shall identify:

• Governing rules;
• arbitrator selection;
• fee allocation;
• small-claims rights;
• legally required opt-out rights;
• representative-action provisions; and
• applicable procedural protections.

Nothing prevents a party from seeking:

• Emergency injunctive relief;
• protection of trade secrets;
• protection of intellectual property;
• protection of confidential information;
• eligible small-claims relief; or
• another remedy that cannot lawfully be restricted.

66. GOVERNING LAW AND VENUE

This Agreement is governed by California law, except where federal law controls.

Subject to an enforceable arbitration agreement, judicial proceedings shall be brought in Orange County, California, unless applicable law requires a different venue.

67. FORCE MAJEURE

FREELANCER shall not be responsible for delayed, modified, interrupted, or unavailable Program services resulting from circumstances beyond its reasonable control, including:

• Natural disasters;
• severe weather;
• fire;
• earthquake;
• flood;
• epidemic;
• public emergency;
• war;
• terrorism;
• civil disturbance;
• labor disruption;
• road closure;
• airport closure;
• governmental action;
• utility failure;
• internet failure;
• telecommunications failure;
• cyberattack;
• fuel shortage;
• supply-chain disruption; or
• widespread transportation interruption.

68. SEVERABILITY

If any provision is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum lawful extent or modified to reflect its lawful purpose.

The remaining provisions shall remain in effect.

69. NO WAIVER

FREELANCER's failure to enforce a provision does not waive its right to enforce that provision later.

A waiver is valid only when issued in writing by an authorized FREELANCER representative.

A waiver concerning one event does not apply to another event.

70. ASSIGNMENT

The Member may not assign, sell, transfer, sublicense, or delegate Membership without prior written authorization from FREELANCER.

FREELANCER may assign this Agreement in connection with:

• A merger;
• acquisition;
• restructuring;
• affiliate reorganization;
• financing;
• trust arrangement;
• sale of assets; or
• another lawful business transaction.

71. ENTIRE AGREEMENT

This Agreement, together with all incorporated agreements, policies, disclosures, compensation schedules, and accepted service terms, constitutes the complete agreement governing the Partner-Chauffeur Loyalty Program.

No verbal statement modifies this Agreement.

A modification must be:

• In writing;
• issued by an authorized FREELANCER representative; or
• electronically presented and accepted through an authorized Platform process.

72. CONTACT AND CANCELLATION INFORMATION

Questions, payment concerns, cancellation requests, and Membership inquiries should be submitted through official FREELANCER contact methods.

73. ELECTRONIC ACKNOWLEDGMENT

By selecting "I Agree," "Join Membership," "Activate Membership," "Subscribe," or a substantially similar acceptance button, the Partner-Chauffeur confirms:

1. I have authority to enter this Agreement for the identified transportation business.
2. I have reviewed and accept the FREELANCER Partner-Chauffeur Loyalty Program Membership Agreement.
3. I understand that the standard Membership Fee is $29.95 per month, unless another price is clearly disclosed.
4. I understand that Membership automatically renews each month until properly canceled.
5. I authorize FREELANCER and its payment processor to charge the approved payment method at each billing interval.
6. I understand that cancellation requires thirty days' advance written or authorized electronic notice.
7. I understand that Membership Fees are nonrefundable after processing except when required by law or expressly authorized.
8. I understand that Membership does not create employment.
9. I understand that Membership does not guarantee transportation opportunities, earnings, work hours, reservations, or business profitability.
10. I understand that the ability to earn up to eighty percent applies only to eligible Passenger-paid trip-duration fares and depends upon applicable performance and compensation standards.
11. I understand that I am responsible for maintaining my business entity, operating authority, licensing, permits, commercial insurance, vehicle, taxes, and legal compliance.
12. I understand that I may not provide transportation through the Platform while required credentials are expired, inactive, suspended, or unverified.
13. I consent to receiving this Agreement, billing notices, Program communications, renewal information, cancellation confirmation, and other legally required communications electronically.

74. PARTNER-CHAUFFEUR MEMBERSHIP CLOSING PHILOSOPHY

The FREELANCER Partner-Chauffeur Loyalty Program was created upon the belief that professional transportation providers should be recognized for more than completing a reservation.

They should be recognized for the quality of the experience they create.

Professionalism should create opportunity.

Reliability should create trust.

Exceptional service should create recognition.

Loyalty should create advancement.

Performance should create greater earning potential.

Every qualified Partner-Chauffeur enters the FREELANCER business ecosystem as an independent business owner responsible for establishing professional value through accountability, integrity, presentation, service, and performance.

The purpose of Membership is not merely to gain access to a Platform.

It is to participate in an Executive Mobility environment where exceptional independent transportation professionals are provided an opportunity to build stronger Passenger relationships, expand their professional visibility, develop their businesses, and establish a legacy of service excellence.

PASSENGER MEMBERSHIP SUBSCRIPTION AGREEMENT

This Passenger Membership Subscription Agreement ("Agreement") is entered into between Freelancer LLC® ("Freelancer", "Company") and the individual registering for, subscribing to, or utilizing Freelancer's website, mobile applications, membership services, or transportation coordination platform ("Passenger" or "Member").

DIGITAL ACCEPTANCE

By selecting "I Agree," activating an account, subscribing to a membership, making a reservation, or utilizing any Freelancer LLC® services, the Passenger acknowledges having read, understood, and agreed to be legally bound by this Agreement.

Electronic acceptance constitutes a legally binding electronic signature under:

• California Uniform Electronic Transactions Act (UETA)
• Electronic Signatures in Global and National Commerce Act (E-SIGN Act)

ARTICLE 1

COMPANY SERVICES

Freelancer LLC® operates as a technology-enabled executive mobility and transportation coordination platform.

Services may include:

• Executive transportation coordination
• Airport transportation
• Corporate transportation
• Hotel transportation
• Event transportation
• Inter-city transportation
• Passenger memberships
• Loyalty and incentive programs
• Reservation services

All transportation services are performed by independently licensed California CPUC/TCP operators.

Freelancer LLC® does not employ chauffeurs and does not directly operate transportation vehicles.

ARTICLE 2

PASSENGER ELIGIBILITY

Passenger affirms:

• Minimum age of 18 years.
• Capacity to enter into legal agreements.
• All registration information is truthful.
• Passenger will comply with all laws.

Minors must be accompanied by a parent or legal guardian.

ARTICLE 3

PASSENGER MEMBERSHIP

Monthly Membership Fee:

$9.95 per month

Membership benefits may include:

• Preferred pricing
• Loyalty rewards
• Birthday promotions
• Anniversary incentives
• Referral incentives
• Mystery Rider participation

Benefits are subject to eligibility, availability, and change without notice.

Membership does not guarantee transportation availability.

ARTICLE 4

RESERVATIONS

All reservations are subject to:

• Availability
• Chauffeur availability
• Vehicle availability
• Subscription status
• Regulatory compliance

A minimum 36-hour advance reservation is required.

Freelancer LLC® does not guarantee:

• Specific chauffeur assignment
• Specific vehicle model
• Estimated arrival times
• Promotional pricing

ETA is an estimate only.

ARTICLE 5

BILLING AND CANCELLATION

Services are billed in 30-minute increments.

Cancellation Policy:

• More than 12 hours before trip: Standard cancellation processing.
• Within 12 hours: $150 cancellation fee may apply.
• After chauffeur dispatch: Full trip charges may apply.

Membership fees are:

• Non-refundable
• Automatically recurring
• Subject to change with notice.

ARTICLE 6

PASSENGER RESPONSIBILITIES

Passenger agrees:

• To conduct themselves respectfully.
• Not to transport illegal substances.
• Not to damage vehicles.
• To obey applicable laws.
• To verify all personal belongings before exiting the vehicle.

Passenger assumes responsibility for:

• Personal property
• Valuables
• Electronics
• Baggage

Freelancer LLC® is not responsible for lost or forgotten items except as required by law.

ARTICLE 7

PASSENGER SAFETY

Vehicles may utilize:

• GPS tracking
• Video surveillance
• Audio recording where permitted by law

for:

• Passenger safety
• Driver safety
• Incident investigations

By utilizing Freelancer services, Passenger consents to such safety measures to the extent permitted by applicable law.

ARTICLE 8

LOYALTY PROGRAM

Freelancer may offer:

• Referral incentives
• Birthday rewards
• Anniversary rewards
• Promotional discounts
• Mystery Rider programs

Rewards:

• Are not guaranteed
• May be modified
• May be suspended
• Have no cash value unless expressly stated

Freelancer reserves the right to change or terminate promotional programs at its sole discretion.

ARTICLE 9

LIMITATION OF LIABILITY

To the fullest extent permitted by California law:

Freelancer LLC® shall not be liable for:

• Delays
• Traffic conditions
• Service interruptions
• Chauffeur unavailability
• Vehicle unavailability
• Lost profits
• Indirect damages
• Lost or forgotten personal property

Freelancer LLC® makes no guarantee regarding uninterrupted service availability.

ARTICLE 10

INDEPENDENT CHAUFFEUR DISCLOSURE

Passenger acknowledges:

• Chauffeur Partners are independent businesses.
• Chauffeur Partners are independent California CPUC/TCP operators.
• Chauffeur Partners are not employees of Freelancer LLC®.
• Chauffeur Partners are solely responsible for:
  • Vehicle operation
  • Insurance
  • Traffic compliance
  • Passenger transportation
  • Vehicle condition

ARTICLE 11

DISPUTE RESOLUTION

The Parties agree:

1. Good Faith Negotiation
2. Mediation
3. Binding Arbitration

Orange County, California

California law governs this Agreement.

ARTICLE 12

ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the Parties.

No verbal statement, representation, promise, advertisement, or prior discussion shall modify this Agreement unless reduced to writing by Freelancer LLC®.

The FREELANCER Loyalty Program is a paid, automatically renewing Passenger membership program.

Unless a different price or billing period is clearly disclosed and accepted during enrollment:

• Membership Fee: $9.95 per month;
• Billing Frequency: Monthly;
• Automatic Renewal: Membership automatically renews each month until canceled;
• Cancellation: Members may cancel through an available online account, mobile-application, email, telephone, or other authorized cancellation method;
• Cancellation Effective Date: Cancellation ordinarily becomes effective at the end of the current paid billing period;
• Refund Policy: Membership fees are generally nonrefundable after a billing period begins, except when required by law or expressly approved by FREELANCER LLC; and
• Transportation Services: Membership does not include unlimited transportation and does not guarantee the availability of any ride, vehicle, Partner-Chauffeur, discount, reward, or complimentary service.

By selecting the membership acceptance checkbox, completing enrollment, or otherwise affirmatively accepting this Agreement, the Member authorizes FREELANCER LLC and its payment processor to charge the disclosed membership fee to the authorized payment method at each recurring billing interval until the membership is canceled.

1. INTRODUCTION

FREELANCER LLC is a California Limited Liability Company operating as a California Passenger Stage Corporation ("CPSC") and providing:

Executive Mobility, Powered by Intelligence.

The FREELANCER Loyalty Program reflects the Company's commitment to recognizing, appreciating, and rewarding Passengers who establish an ongoing relationship with the FREELANCER Executive Mobility platform.

FREELANCER believes loyalty should create meaningful value.

Membership is designed to provide eligible Passengers with access to savings, personalized benefits, service opportunities, recognition, and mobility experiences that may not be available to nonmembers.

This Loyalty Program Membership Agreement ("Agreement") governs enrollment, payment, participation, benefits, rewards, account administration, renewal, cancellation, and termination of the FREELANCER Loyalty Program ("Loyalty Program," "Program," or "Membership").

This Agreement is entered into between:

FREELANCER LLC
and
the individual Passenger enrolling in the Loyalty Program ("Member," "you," or "your").

By enrolling, you acknowledge that you have read, understood, and agreed to this Agreement.

2. INCORPORATION OF RELATED TERMS

This Agreement supplements and incorporates, as applicable, the current:

• FREELANCER Website and Mobile Application Terms and Conditions;
• FREELANCER Privacy Policy;
• Passenger reservation and cancellation policies;
• Passenger Vehicle Protection and Damage Responsibility Agreement;
• Electronic Booking Acceptance Addendum;
• Payment authorizations;
• Promotional terms;
• Service-specific disclosures; and
• Other policies electronically accepted by the Member.

If a provision of this Agreement directly conflicts with the general Website and Mobile Application Terms and Conditions, this Agreement controls only with respect to the Loyalty Program.

A transportation reservation may be governed by additional terms presented during booking.

Membership benefits do not override transportation safety requirements, regulatory obligations, service limitations, pricing terms, or reservation policies.

3. MEMBERSHIP ELIGIBILITY

To enroll as a Member, an individual must:

• Be at least eighteen years of age;
• Possess the legal capacity to enter into a binding agreement;
• Maintain an active FREELANCER Passenger account;
• Provide accurate identity and contact information;
• Maintain a valid authorized payment method;
• Complete any required mobile-phone, email, identity, or account verification;
• Accept this Agreement electronically; and
• Remain in compliance with all applicable FREELANCER policies.

Membership is generally intended for individual Passenger use.

A business, corporate partner, travel coordinator, household, or other entity may participate only through a program expressly authorized by FREELANCER.

FREELANCER may approve, reject, limit, suspend, or discontinue an enrollment when reasonably necessary to protect the Program, prevent fraud, comply with law, or preserve service quality.

Membership shall not be denied or administered in a manner prohibited by applicable law.

4. ELECTRONIC ENROLLMENT AND AFFIRMATIVE CONSENT

Membership begins only after the prospective Member affirmatively accepts the disclosed Membership terms.

Affirmative acceptance may include:

• Selecting a clearly presented acceptance checkbox;
• Selecting an enrollment or purchase button;
• Providing an electronic signature;
• Entering an authorized one-time code;
• Completing an in-application enrollment process; or
• Using another electronic method that clearly demonstrates consent.

Before the Member is charged, FREELANCER will present the material terms of the Membership, including:

• Membership price;
• Billing frequency;
• Automatic-renewal terms;
• Cancellation instructions;
• Material benefit limitations;
• Any introductory or promotional period;
• Any free-trial conversion terms; and
• Any applicable refund limitations.

The Member's electronic acceptance has the same force and effect as a handwritten signature.

5. MEMBERSHIP FEE

Unless another price is clearly disclosed and affirmatively accepted during enrollment, the standard FREELANCER Loyalty Program Membership Fee is:

$9.95 per month.

The Membership Fee provides access to the Loyalty Program and its available benefits.

The Membership Fee does not constitute:

• Payment for a specific transportation service;
• A transportation fare;
• A deposit toward a future reservation;
• A guarantee of a specific discount;
• A guarantee of a complimentary ride;
• A guarantee of vehicle availability;
• A guarantee of a particular Partner-Chauffeur;
• A guarantee of a specific service category; or
• A guarantee that the value of benefits received during a billing period will exceed the Membership Fee.

Transportation fares, tolls, parking charges, waiting time, staging charges, airport charges, governmental fees, gratuities, damage charges, cleaning charges, cancellation fees, and other service charges remain separate unless expressly stated otherwise.

6. AUTOMATIC MONTHLY RENEWAL

Membership automatically renews each month until canceled.

By enrolling, the Member authorizes FREELANCER and its authorized payment processor to charge the applicable Membership Fee, including legally required taxes, to the Member's payment method at the beginning of each recurring billing period.

The renewal date will generally correspond to the original enrollment date.

When a calendar month does not contain the corresponding date, billing may occur on the final day of that month or another reasonably equivalent date.

The Member remains responsible for:

• Maintaining a valid payment method;
• Keeping billing information current;
• Reviewing renewal notices and receipts;
• Monitoring the Membership account; and
• Canceling the Membership when continued renewal is no longer desired.

FREELANCER may provide renewal reminders, billing notices, or other subscription communications when required by law or considered appropriate.

7. PAYMENT AUTHORIZATION

The Member represents that:

• The submitted payment method is valid;
• The Member is authorized to use it;
• The billing information is accurate;
• The Member authorizes recurring Membership charges;
• Sufficient funds or credit will be maintained; and
• The payment processor may retain payment credentials in accordance with its terms and privacy practices.

FREELANCER may use a third-party payment processor, including Stripe or another authorized provider.

FREELANCER does not require access to the Member's complete payment-card information when the information is securely maintained by the authorized payment processor.

The Member authorizes FREELANCER to correct or resubmit a Membership charge when:

• A transaction initially fails;
• Updated payment credentials are provided;
• The payment processor supplies an authorized account update;
• A temporary processing error occurs; or
• Another lawful payment-processing adjustment is necessary.

8. FAILED PAYMENTS

If a Membership payment is declined, reversed, disputed, or otherwise unsuccessful, FREELANCER may:

• Retry the payment;
• Request an updated payment method;
• Temporarily suspend Membership benefits;
• Remove pending promotional benefits;
• Restrict redemption of rewards;
• Cancel the Membership;
• Apply an available account credit where authorized; or
• Take other reasonable collection or account-protection measures.

A payment failure does not automatically cancel the Membership unless FREELANCER confirms cancellation.

The Member remains responsible for valid charges incurred before cancellation or termination.

FREELANCER will not impose a separate late fee unless that fee is clearly disclosed and legally permitted.

9. MEMBERSHIP BENEFITS

Depending on the active Program structure, geographic market, Membership status, reservation type, service availability, and promotional eligibility, benefits may include:

• Member transportation discounts;
• Preferred promotional pricing;
• Loyalty rewards;
• Service credits;
• Complimentary or reduced-price transportation opportunities;
• Airport-service savings;
• Bundled-service benefits;
• Early notice of selected services;
• Access to Member-only promotions;
• Recognition of important dates;
• Personalized Passenger preferences;
• Priority consideration for selected opportunities;
• Referral benefits;
• Featured Vehicle opportunities;
• Vehicle Select opportunities;
• Gender Select opportunities;
• Language-assistance preferences;
• Partner-business offers;
• Special-event benefits; and
• Other benefits established by FREELANCER.

Not every benefit will be available to every Member or during every billing period.

Specific benefit terms may be displayed within the Passenger application, website, Membership account, reservation process, email, promotional notice, or other authorized communication.

10. MEMBER TRANSPORTATION DISCOUNTS

FREELANCER may offer eligible Members transportation discounts that may range from approximately twenty-five percent to fifty percent on selected qualifying services.

The actual discount, if any, may depend on:

• Vehicle category;
• Service classification;
• Geographic market;
• reservation date;
• reservation time;
• advance-booking period;
• trip duration;
• Partner-Chauffeur availability;
• promotional campaign;
• Member status;
• airport or event conditions;
• operating costs; and
• other disclosed eligibility requirements.

A stated discount range does not guarantee that every reservation will receive a discount or that the maximum discount will be available.

Unless expressly stated otherwise, discounts do not apply to:

• Membership Fees;
• taxes;
• governmental charges;
• tolls;
• parking;
• gratuities;
• waiting-time charges;
• staging fees;
• cancellation fees;
• damage charges;
• extraordinary cleaning charges;
• airport-imposed charges;
• venue-imposed charges;
• third-party charges;
• previously completed services; or
• excluded premium or specialty services.

Discounts cannot be exchanged for cash.

11. AIRPORT AND TRAVEL BENEFITS

Eligible Members may receive additional benefits for qualifying airport or travel services.

An airport-service benefit may include an additional discount, including an additional discount of up to ten percent, when expressly offered as part of a qualifying reservation or service bundle.

Airport and travel benefits may be subject to:

• Airport operating permissions;
• Ground-transportation regulations;
• flight information;
• staging restrictions;
• pickup-zone requirements;
• vehicle availability;
• Partner-Chauffeur availability;
• advance reservation requirements;
• applicable airport fees;
• geographic limitations; and
• other service-specific conditions.

An additional airport discount is not guaranteed unless displayed and confirmed as part of the reservation.

Governmental, airport, parking, toll, waiting, and third-party charges may remain payable at their full amount.

12. COMPLIMENTARY SERVICES

FREELANCER may occasionally provide eligible Members with a complimentary ride, service credit, upgrade, amenity, promotional experience, or other complimentary benefit.

A complimentary opportunity:

• Is not guaranteed;
• May be offered only to selected Members;
• May be limited to a particular vehicle or service category;
• May require advance booking;
• May be subject to a maximum value;
• May exclude taxes and additional charges;
• May be subject to expiration;
• May not be transferable;
• May be unavailable during holidays or major events;
• May depend on Partner-Chauffeur and vehicle availability; and
• May be withdrawn before redemption when reasonably necessary.

A complimentary service does not necessarily include:

• Tolls;
• parking;
• airport fees;
• governmental charges;
• gratuities;
• extended waiting;
• additional stops;
• route modifications;
• damage;
• contamination;
• extraordinary cleaning; or
• services exceeding the stated promotional value.

Complimentary services have no cash value and cannot be refunded as cash.

13. LOYALTY REWARDS AND SERVICE CREDITS

FREELANCER may issue loyalty rewards, points, service credits, promotional values, certificates, digital benefits, or similar incentives.

Rewards may be earned through:

• Qualifying transportation purchases;
• continuous Membership;
• referrals;
• promotional participation;
• Passenger feedback;
• special occasions;
• Member anniversaries;
• approved Partner programs;
• service-recovery adjustments; or
• other authorized activities.

The Program may establish:

• Earning requirements;
• redemption values;
• maximum balances;
• eligible services;
• blackout periods;
• transfer restrictions;
• expiration periods;
• account-status requirements; and
• other conditions.

Rewards are promotional benefits and do not constitute:

• Currency;
• legal tender;
• wages;
• interest;
• a bank deposit;
• stored monetary value;
• property held in trust;
• an investment;
• a security; or
• a vested ownership interest.

Rewards cannot be sold, assigned, transferred, bartered, inherited, pledged, or exchanged for cash unless expressly authorized by FREELANCER.

14. REWARD EXPIRATION

FREELANCER believes appreciation should never have an expiration date.

Accordingly, FREELANCER may preserve qualifying earned Member rewards for as long as the Program remains active and the Member account remains in good standing.

However, a specific promotional reward, complimentary benefit, service credit, referral reward, or limited-time offer may contain an expiration date when that expiration is clearly disclosed when the benefit is issued.

Rewards may also be forfeited when:

• They were obtained through fraud;
• The qualifying transaction is refunded;
• A payment is reversed or charged back;
• The account is duplicated or manipulated;
• The Membership is terminated for serious misconduct;
• The reward was issued in error;
• The Program is discontinued in accordance with applicable law; or
• The reward terms expressly authorize forfeiture.

FREELANCER may provide reasonable notice before expiring a material reward balance when required by law or the applicable promotional terms.

15. PERSONALIZED RECOGNITION

Members may voluntarily provide dates or preferences for personalized recognition, including:

• Birthdays;
• Membership anniversaries;
• Wedding anniversaries;
• travel preferences;
• vehicle preferences;
• language preferences;
• accessibility needs; and
• other service-related information.

Providing optional recognition information does not guarantee a reward, complimentary service, discount, or particular form of acknowledgment.

Information will be processed in accordance with the FREELANCER Privacy Policy.

Members are responsible for maintaining accurate account information.

16. MEMBERSHIP CONTINUITY, RE-ENROLLMENT, AND BENEFIT RESET RESTRICTIONS

Membership benefits, discounts, loyalty status, promotional eligibility, reward limits, introductory offers, waiting periods, advancement requirements, and account history are associated with the Member and the Member's verified identity, business, Driver Identification Number, contact information, payment history, and related account records.

Changing a payment card, bank account, billing method, email address, telephone number, business name, device, account credential, or other account information does not create a new Membership or reset the Member's prior Membership history.

Canceling and later restarting Membership does not automatically:

• Restore introductory eligibility;
• restart promotional benefits;
• reset discount limits;
• restore previously used rewards;
• restart loyalty milestones;
• erase prior payment failures;
• remove prior performance records;
• restore forfeited benefits;
• create a new trial period;
• create a new-member classification; or
• eliminate any prior suspension, restriction, investigation, or account limitation.

FREELANCER may identify related, duplicate, successor, replacement, or reactivated accounts by reviewing information including:

• Member name;
• legal business name;
• Driver Identification Number;
• Employer Identification Number;
• business address;
• telephone number;
• email address;
• payment information;
• bank-account information;
• device information;
• identity-verification records;
• vehicle information;
• operating-authority information;
• insurance information; and
• other reasonably related account identifiers.

When FREELANCER determines that a canceled, replacement, duplicate, or reactivated account is associated with the same Member, business, owner, operator, vehicle, payment source, or controlling person, FREELANCER may treat the account as a continuation of the prior Membership.

FREELANCER may therefore:

• Restore the prior Membership history;
• carry forward prior reward usage;
• carry forward prior discount usage;
• continue applicable waiting periods;
• deny a duplicate introductory offer;
• deny repeated new-member benefits;
• preserve prior performance and compliance records;
• preserve prior suspension or restriction status;
• combine related accounts;
• remove duplicate rewards;
• reverse improperly obtained benefits;
• recover credits or incentives obtained through account manipulation;
• suspend or terminate the Membership; and
• take other reasonable action necessary to protect the integrity of the Program.

A Member may not cancel, change payment information, create another account, alter identifying information, transfer control of a business, or re-enroll for the primary purpose of obtaining benefits that would not otherwise be available.

Any attempt to manipulate Membership status, reset Program benefits, avoid waiting periods, obtain repeated introductory offers, duplicate discounts, or evade prior account restrictions constitutes Program abuse and a material violation of this Agreement.

FREELANCER may distinguish a legitimate new Membership from an attempted benefit reset based on the totality of the circumstances, including the length of time since cancellation, changes in ownership, changes in business structure, prior Program activity, prior benefit usage, payment history, and the reason for re-enrollment.

A genuinely new owner or legally separate business may be required to complete full onboarding and provide documentation establishing that it is not a continuation, successor, affiliate, nominee, or replacement account created to avoid Program limitations.

Nothing in this section prevents a former Member from applying to rejoin the Program. Re-enrollment, however, remains subject to FREELANCER approval, current Membership terms, current pricing, current qualification standards, prior account history, and any applicable reinstatement conditions.

I understand that changing my payment method, canceling and re-enrolling, creating another account, or changing account information will not reset my Membership history, introductory eligibility, discounts, rewards, loyalty status, waiting periods, performance records, or prior restrictions.

17. FEATURED VEHICLE AND VEHICLE SELECT BENEFITS

Membership may provide access to promotions involving Featured Vehicles, Select Choice, or Vehicle Select.

Membership does not guarantee:

• Availability of a specific vehicle;
• Assignment of a Featured Vehicle;
• A complimentary vehicle upgrade;
• Access to every vehicle category;
• Waiver of a vehicle-selection charge; or
• Priority over a previously confirmed reservation.

A requested vehicle becomes guaranteed only when FREELANCER expressly confirms the exact vehicle as part of a completed reservation.

If a selected vehicle becomes unavailable for mechanical, inspection, safety, regulatory, operational, or serviceability reasons, FREELANCER may offer:

• A comparable vehicle;
• An upgraded vehicle;
• A different vehicle category;
• Rescheduling;
• A service credit where appropriate; or
• Cancellation under the applicable reservation terms.

18. GENDER SELECT AND LANGUAGE PREFERENCES

Membership may allow a Member to save or request eligible service preferences, including Gender Select or spoken-language preferences.

These preferences:

• Are subject to availability;
• Are not guaranteed;
• May require advance notice;
• May involve an additional charge;
• May not be available in every market;
• Do not permit harassment or discrimination;
• Do not permit access to private Partner-Chauffeur information; and
• May be modified to comply with applicable law.

When a requested language preference cannot be fulfilled by an available bilingual Partner-Chauffeur, FREELANCER may offer AI-Integrated Intelligent Language Assistance.

Automated language assistance is a convenience feature and not a substitute for certified medical, legal, emergency, or governmental interpretation.

19. MEMBERSHIP DOES NOT GUARANTEE TRANSPORTATION

Membership provides access to the Loyalty Program.

It does not create a guarantee that FREELANCER will accept or fulfill every transportation request.

All transportation remains subject to:

• Service availability;
• geographic coverage;
• operating authority;
• Partner-Chauffeur availability;
• vehicle availability;
• approved passenger capacity;
• reservation requirements;
• safety conditions;
• payment authorization;
• regulatory requirements;
• airport and venue restrictions;
• weather;
• roadway conditions;
• emergencies; and
• other operational considerations.

FREELANCER may decline, modify, reassign, reschedule, substitute, or cancel a transportation service when reasonably necessary.

Membership does not create an entitlement to transportation that would be unsafe, unlawful, operationally unavailable, or outside the scope of FREELANCER's authorized services.

20. RESERVATION REQUIREMENTS

Members remain subject to all reservation requirements.

FREELANCER may require reservations to be submitted at least thirty-six hours before the requested staging or pickup time.

Providing advance notice increases the likelihood of:

• Vehicle allocation;
• Featured Vehicle availability;
• Select Choice availability;
• Gender Select availability;
• language-preference fulfillment;
• airport coordination;
• special-accommodation preparation; and
• Partner-Chauffeur assignment.

Advance booking does not guarantee that every requested feature will be available.

The Member must provide accurate:

• Pickup and destination information;
• date and time;
• Passenger count;
• luggage requirements;
• accessibility requirements;
• contact information;
• flight information;
• vehicle preference; and
• special-service information.

FREELANCER may modify or cancel a reservation when material information is inaccurate, incomplete, or omitted.

21. CANCELLATIONS AND TRANSPORTATION FEES

Membership does not waive reservation cancellation terms.

A Member may remain responsible for an applicable cancellation charge when a transportation reservation is canceled within a chargeable period.

Unless different terms are disclosed during booking, a cancellation occurring within the final twelve hours before scheduled Passenger staging may be subject to a cancellation charge of up to $150.

The cancellation charge may reflect:

• Reserved vehicle capacity;
• Partner-Chauffeur preparation;
• Passenger staging;
• lost booking opportunities;
• administrative coordination;
• premium vehicle allocation; and
• other operational commitments.

Membership discounts, rewards, and service credits may not be used to pay a cancellation fee unless expressly authorized.

A complimentary ride or discounted reservation remains subject to cancellation requirements.

22. MEMBERSHIP CANCELLATION RIGHTS

A Member may cancel the Loyalty Program at any time through an available authorized cancellation method.

Authorized cancellation methods may include:

• The Member's online account;
• The FREELANCER mobile application;
• An account-management cancellation function;
• Email sent to the designated Membership address;
• Telephone contact with Customer Support;
• Written notice; or
• Another method identified by FREELANCER.

FREELANCER will not require the Member to use an unreasonably burdensome cancellation method.

When Membership was enrolled in online, an online cancellation method will be made available as required by applicable law.

The cancellation request should include sufficient information to identify the Member account, such as:

• Full name;
• registered email address;
• registered telephone number; and
• Membership or Passenger account information.

FREELANCER may use reasonable account-verification procedures to protect against unauthorized cancellation.

23. EFFECTIVE DATE OF CANCELLATION

Unless otherwise required by law or expressly stated:

• Membership remains active through the end of the current paid billing period;
• The Member may continue using available benefits during that period;
• No additional recurring Membership Fee will be charged after the effective cancellation date; and
• Cancellation does not retroactively cancel completed billing periods.

FREELANCER will provide a cancellation acknowledgment or confirmation through email, the mobile application, the Member account, or another reasonable method.

The Member should retain the cancellation confirmation.

Canceling the Loyalty Program does not automatically cancel:

• An existing transportation reservation;
• A separate corporate account;
• Another FREELANCER subscription;
• A pending payment obligation;
• A valid damage or cleaning charge; or
• A separate agreement.

Each separate service must be canceled according to its applicable terms.

24. REFUND POLICY

Membership Fees are generally nonrefundable after the applicable billing period begins.

FREELANCER may issue a full or partial refund when:

• Required by law;
• A duplicate Membership charge occurred;
• An unauthorized charge is verified;
• A billing error occurred;
• FREELANCER approves a service-recovery adjustment;
• A free-trial or promotional disclosure was materially inaccurate; or
• Another circumstance justifies a refund under applicable law or Program policy.

The absence or nonuse of Membership benefits during a billing period does not independently create a right to a refund.

A Member is responsible for canceling Membership when continued participation is no longer desired.

Refund processing time may depend on the payment processor and the Member's financial institution.

25. FREE TRIALS AND PROMOTIONAL MEMBERSHIPS

FREELANCER may offer a free trial, reduced introductory price, complimentary Membership period, bundled Membership, or other promotional enrollment.

The enrollment disclosure will identify:

• Promotional duration;
• eligibility requirements;
• price during the promotional period;
• price after the promotional period;
• automatic-renewal terms;
• cancellation deadline; and
• material restrictions.

Unless canceled before the disclosed conversion date, a promotional Membership may automatically convert to a paid Membership at the disclosed recurring price.

A Member may be limited to one free trial or introductory offer.

FREELANCER may deny or revoke promotional eligibility when it reasonably determines that a person has created duplicate accounts, used false information, or otherwise attempted to obtain repeated introductory benefits.

26. MEMBERSHIP PRICE CHANGES

FREELANCER reserves the right to change the Membership Fee.

Before charging an increased recurring Membership Fee, FREELANCER will provide notice and obtain any additional consent required by applicable law.

A price-change notice may be delivered through:

• Email;
• text message;
• mobile-application notification;
• account notice;
• website notice; or
• another legally sufficient method.

The notice will identify:

• The new Membership Fee;
• The effective date;
• The billing frequency;
• The Member's cancellation rights; and
• Any action required to accept or decline the change.

FREELANCER will not rely solely on silence or inactivity as consent when affirmative consent is legally required.

A Member who does not agree to a price increase may cancel before the increase becomes effective.

27. CHANGES TO BENEFITS

FREELANCER may add, remove, modify, replace, limit, suspend, or discontinue a Membership benefit based on:

• Service availability;
• operating costs;
• market conditions;
• business requirements;
• regulatory requirements;
• insurance requirements;
• Partner-Chauffeur participation;
• vehicle availability;
• technology changes;
• fraud prevention;
• Member usage;
• Program sustainability; or
• other legitimate operational considerations.

FREELANCER will provide reasonable notice of a material adverse change when required by law.

Changes to future benefits do not necessarily create a refund right when the Member continues to receive access to the Program during the applicable billing period.

FREELANCER may immediately restrict a benefit when necessary for safety, fraud prevention, legal compliance, or security.

28. MEMBER RESPONSIBILITIES

Members agree to:

• Maintain accurate account information;
• Protect account credentials;
• Use Membership only for authorized purposes;
• Treat Partner-Chauffeurs and representatives respectfully;
• Comply with Passenger conduct standards;
• Pay all valid charges;
• Follow safety instructions;
• Provide accurate reservation information;
• Avoid fraudulent reward activity;
• Avoid unauthorized account sharing;
• Promptly report suspected account compromise; and
• Comply with this Agreement and related FREELANCER policies.

Membership benefits may not be obtained through misrepresentation, manipulation, threats, harassment, duplicate accounts, payment disputes, false referrals, or other abusive conduct.

29. PERSONAL AND NONTRANSFERABLE MEMBERSHIP

Membership is personal to the enrolled Member unless FREELANCER expressly authorizes a household, family, corporation, business entity or other shared program.

A Member may arrange transportation for an authorized guest when permitted by the reservation terms.

However:

• The Membership itself may not be sold;
• Account credentials may not be transferred;
• Benefits may not be commercially resold;
• Rewards may not be brokered;
• Complimentary services may not be auctioned;
• Member-only pricing may not be advertised for resale; and
• Another person may not impersonate the Member.

The enrolled Member remains responsible for authorized activity conducted through the Membership account.

30. FAMILY MEMBERS, GUESTS, AND AUTHORIZED PASSENGERS

FREELANCER may permit a Member to reserve transportation for:

• A spouse;
• family member;
• authorized guest;
• dependent;
• business associate;
• client; or
• another approved Passenger.

The Member must provide accurate Passenger information and ensure that the Passenger understands applicable conduct, safety, vehicle-protection, and service requirements.

The Member may remain financially responsible for:

• The reservation;
• additional charges;
• cancellation charges;
• damage;
• contamination;
• extraordinary cleaning;
• waiting time; and
• other valid charges arising from the authorized reservation.

Membership benefits applicable to guest reservations will be determined by the terms of the specific benefit.

31. CORPORATE AND BUSINESS ACCOUNTS

Individual Loyalty Program Membership does not automatically create or include an Executive Corporate Service, B2B Partner Account, key-card account, or corporate billing arrangement.

Corporate benefits may be governed by a separate agreement.

A corporate account may include:

• Authorized Passenger lists;
• Entry Codes;
• key cards;
• business billing;
• service controls;
• corporate reporting;
• account administrators;
• customized benefits; and
• other business services.

An Entry Code or key card does not eliminate a Passenger's obligation to complete any required one-time-code verification or ride-activation process.

When an individual Membership and corporate benefit both apply, FREELANCER may determine which benefit provides the greater applicable value unless the programs expressly permit combination.

32. COMBINING BENEFITS

Unless a specific promotion states otherwise:

• Membership discounts may not be combined;
• Only one promotional code may be used per reservation;
• Complimentary services may not be combined with another complimentary offer;
• Rewards may not apply to excluded charges;
• Corporate rates may not combine with individual Member rates;
• Service credits may be applied in an order determined by FREELANCER; and
• The highest available eligible benefit may be applied instead of stacking multiple benefits.

FREELANCER may correct the accidental application of incompatible or duplicate discounts before final payment settlement.

33. REFERRAL BENEFITS

FREELANCER may provide rewards for qualified Member referrals.

A referral may require:

• A unique referral code;
• A new Passenger account;
• Identity and contact verification;
• A completed qualifying reservation;
• Successful payment;
• Satisfaction of a waiting period; and
• Compliance with promotional terms.

A referral reward may be denied, reversed, or forfeited when:

• The referred person was already a Passenger;
• The account is fraudulent or duplicated;
• The qualifying payment is refunded or charged back;
• The referral code was published or distributed in an unauthorized manner;
• The Member referred themselves;
• Information was falsified; or
• The referral did not satisfy the disclosed requirements.

Referral benefits are promotional and do not create employment, commission, agency, partnership, or independent-contractor status.

34. PROHIBITED PROGRAM ACTIVITY

Prohibited activity includes:

• Creating duplicate or fictitious accounts;
• Manipulating referral systems;
• Selling rewards or Membership benefits;
• Sharing one-time codes without authorization;
• Using stolen payment information;
• Submitting false complaints to obtain credits;
• Filing dishonest chargebacks;
• Falsifying completed transportation;
• Manipulating location or reservation data;
• Using automated systems to acquire benefits;
• Exploiting software defects;
• Harassing representatives for unauthorized benefits;
• Misrepresenting eligibility;
• Reselling discounted transportation; and
• Using the Program for unlawful commercial purposes.

FREELANCER may investigate suspected misconduct and preserve relevant account, transaction, communication, location, and reservation information as permitted by law.

35. SUSPENSION OR TERMINATION BY FREELANCER

FREELANCER may suspend, restrict, or terminate Membership when reasonably necessary because of:

• Nonpayment;
• fraud;
• suspected fraud;
• chargeback abuse;
• account manipulation;
• identity misrepresentation;
• unauthorized account sharing;
• threats or harassment;
• unlawful discrimination;
• safety concerns;
• repeated reservation abuse;
• vehicle damage;
• contamination;
• violation of this Agreement;
• violation of related policies;
• legal or regulatory requirements;
• security threats; or
• conduct harmful to FREELANCER, its Passengers, Partner-Chauffeurs, personnel, service providers, or reputation.

When appropriate, FREELANCER may provide notice and an opportunity to correct the issue.

Immediate suspension or termination may occur when necessary to address safety, fraud, security, serious misconduct, or legal compliance.

Termination does not eliminate responsibility for valid charges incurred before termination.

36. EFFECT OF MEMBERSHIP TERMINATION

Upon termination or expiration:

• Recurring Membership billing will stop after the effective termination date;
• Access to Member-only benefits may end;
• Pending promotions may be canceled;
• Nonvested benefits may be forfeited;
• Existing transportation reservations remain governed by their reservation terms;
• Outstanding charges remain payable; and
• Provisions intended to survive termination remain enforceable.

Treatment of unused rewards will depend on:

• The type of reward;
• The reason for termination;
• The reward's specific terms;
• applicable law; and
• whether the reward was earned through valid activity.

Termination for fraud or serious misconduct may result in forfeiture of rewards associated with the misconduct.

37. PROGRAM DISCONTINUATION

FREELANCER may discontinue the Loyalty Program when reasonably necessary.

When practicable and legally required, FREELANCER will provide advance notice that identifies:

• The discontinuation date;
• The final billing date;
• The final date to earn benefits;
• The final date to redeem eligible rewards;
• Treatment of remaining Membership periods;
• Any refund or credit process; and
• Any replacement program.

FREELANCER may discontinue the Program more quickly when required by law, regulatory action, security concerns, insolvency, emergency conditions, or circumstances beyond its reasonable control.

No additional Membership Fee will be charged for a period beginning after the Program's final effective date.

38. MEMBER COMMUNICATIONS

The Member consents to receive transactional communications relating to:

• Enrollment;
• recurring billing;
• renewal;
• payment failure;
• cancellation;
• reservation activity;
• reward status;
• Program changes;
• security;
• account verification;
• service updates; and
• legal notices.

Communications may be delivered through:

• Email;
• text message;
• telephone;
• mobile-application notification;
• account notification; or
• mail.

Marketing communications will be administered in accordance with applicable consent and opt-out requirements.

Opting out of promotional communications does not prevent FREELANCER from sending necessary transactional, billing, security, or legal communications.

The Member is responsible for maintaining current contact information.

39. PRIVACY

Membership participation is governed by the FREELANCER Privacy Policy.

Information used to administer the Program may include:

• Identity information;
• contact information;
• payment-related information;
• reservation history;
• Membership history;
• reward activity;
• preferences;
• important dates voluntarily provided;
• vehicle preferences;
• language preferences;
• location information;
• communication records;
• feedback;
• referral information; and
• security information.

FREELANCER may use authorized service providers to support:

• Payment processing;
• communications;
• application hosting;
• identity verification;
• fraud prevention;
• analytics;
• customer support; and
• Program administration.

Membership information will not be sold or transferred as a stand-alone Membership list except as permitted by the Privacy Policy and applicable law.

40. NO EMPLOYMENT, OWNERSHIP, OR BUSINESS INTEREST

Membership is a Passenger loyalty relationship only.

Membership does not create:

• Employment;
• an independent-contractor relationship;
• a legal partnership;
• a joint venture;
• a franchise;
• an agency relationship;
• a fiduciary relationship;
• ownership in FREELANCER;
• voting rights;
• profit-sharing rights;
• equity rights; or
• entitlement to Partner-Chauffeur compensation.

A Member who separately applies for employment, a Partner-Chauffeur opportunity, or another business relationship must complete the applicable application and execute any required separate agreement.

41. PARTNER-CHAUFFEURS

Partner-Chauffeurs may be independently owned and operated transportation businesses approved to participate within the FREELANCER business ecosystem.

Membership does not authorize a Member to:

• Direct a Partner-Chauffeur's independent business;
• demand personal information;
• bypass FREELANCER's reservation process;
• negotiate unauthorized off-platform transportation;
• require unsafe or unlawful conduct;
• exceed vehicle capacity;
• interfere with navigation; or
• disregard reasonable safety instructions.

Members and Partner-Chauffeurs must treat one another with professionalism, dignity, privacy, and respect.

42. PROPRIETARY RIGHTS

The FREELANCER Loyalty Program, including its structure, brand identity, benefit design, membership system, rewards, technology, written materials, graphics, service terminology, promotional methods, pricing systems, reservation processes, and operating procedures, constitutes proprietary information owned by or licensed to FREELANCER LLC.

Membership provides only a limited, revocable, nonexclusive, nontransferable right to participate in the Program for personal use.

No Member may:

• Copy the Program;
• reproduce its materials;
• reverse engineer its systems;
• imitate its benefit structure;
• commercially exploit its information;
• use Program data to establish a competing service;
• scrape Membership information;
• misuse Member-only content; or
• use FREELANCER intellectual property without authorization.

All rights not expressly granted are reserved by FREELANCER LLC.

43. FREELANCER PROPRIETARY BRAND RIGHTS

The following trademarks, service marks, slogans, commercial expressions, and associated goodwill are the proprietary rights and property of FREELANCER LLC:

FREELANCER - "IT PAYS TO RIDE®™"

OPPORTUNITY - "IT PAYS TO DRIVE®™"

"WE DON'T FILL SEATS...WE CREATE SPACE®™"

"WE DON'T CREATE BUSINESSES...WE CREATE LEGACIES®™"

These expressions may not be copied, reproduced, altered, registered, imitated, distributed, advertised, licensed, incorporated into another business, used in social-media branding, used for search-engine advertising, or otherwise commercially exploited without the prior written authorization of FREELANCER LLC.

The presence or absence of a trademark, service-mark, registered-mark, copyright, or similar symbol does not waive any proprietary right.

44. DISCLAIMER OF GUARANTEED VALUE

The economic value received from Membership will vary among Members.

FREELANCER does not guarantee that:

• A Member will save more than the Membership Fee;
• A Member will use a benefit each month;
• A particular discount will remain available;
• A complimentary ride will be offered;
• A particular vehicle will be available;
• A requested Partner-Chauffeur will be assigned;
• A reward will have a particular future value;
• Every geographic market will provide identical benefits; or
• Program participation will produce a particular financial result.

Membership should be purchased based on the disclosed Program access and not upon an expectation of guaranteed savings.

45. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, the Loyalty Program is provided on an "as available" basis.

FREELANCER does not warrant that:

• Every benefit will always be available;
• The Program will operate without interruption;
• Every digital notification will be received;
• Every promotional description will remain unchanged;
• A particular savings amount will be achieved;
• Every third-party service will remain operational; or
• Every account error will be corrected immediately.

Nothing in this Agreement excludes any warranty, remedy, or consumer right that cannot lawfully be waived.

46. LIMITATION OF LIABILITY

To the maximum extent permitted by law, FREELANCER shall not be responsible for indirect, incidental, special, exemplary, punitive, or consequential damages arising from:

• Unavailable benefits;
• missed promotions;
• expired offers;
• service interruptions;
• delayed communications;
• unavailable vehicles;
• unavailable Partner-Chauffeurs;
• third-party service failures;
• unauthorized account access;
• device incompatibility;
• technical errors; or
• events beyond FREELANCER's reasonable control.

Nothing in this Agreement limits liability that cannot legally be limited.

Transportation-related liability may also be governed by applicable law, insurance coverage, regulatory requirements, reservation terms, and separate agreements.

47. DISPUTE RESOLUTION

Before commencing formal proceedings, the Member and FREELANCER agree to make a good-faith effort to resolve a dispute through written notice and informal discussion.

Unless prohibited by law or controlled by a separate written arbitration agreement, a dispute may be subject to:

1. Written notice describing the dispute;
2. Good-faith informal resolution;
3. Mediation in Orange County, California; and
4. Binding arbitration in Orange County, California.

Any applicable arbitration agreement shall identify the governing rules, arbitrator-selection process, fee allocation, small-claims rights, legally required opt-out procedure, and applicable consumer protections.

Nothing prevents either party from seeking:

• Eligible small-claims relief;
• Emergency injunctive relief;
• Protection of intellectual property;
• Protection of confidential information; or
• Another remedy that cannot legally be restricted.

48. GOVERNING LAW

This Agreement is governed by the laws of the State of California, except where applicable federal law controls.

Subject to an enforceable arbitration agreement, venue for judicial proceedings shall be located in Orange County, California, unless applicable law requires another venue.

49. CHANGES TO THIS AGREEMENT

FREELANCER may revise this Agreement periodically.

The updated Agreement will identify a revised effective date.

Notice may be provided through:

• Email;
• the website;
• the mobile application;
• the Member account;
• text message; or
• another reasonable method.

When a revision materially changes an automatically renewing price or another term requiring affirmative consent, FREELANCER will obtain the consent required by applicable law before applying the change.

Continued Membership after the effective date constitutes acceptance of other properly disclosed revisions to the extent permitted by law.

50. SEVERABILITY

If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted or modified to reflect its lawful purpose.

The remaining provisions will continue in full force and effect.

51. NO WAIVER

FREELANCER's failure to enforce a provision does not waive its right to enforce that provision later.

A waiver is effective only when issued in writing by an authorized FREELANCER representative.

A waiver regarding one event does not constitute a waiver regarding another event.

52. ASSIGNMENT

The Member may not sell, assign, delegate, or transfer this Agreement or the Membership without prior written authorization from FREELANCER.

FREELANCER may transfer or assign this Agreement in connection with:

• A merger;
• acquisition;
• restructuring;
• affiliate reorganization;
• trust arrangement;
• financing;
• sale of assets; or
• another lawful business transaction.

Any assignment will remain subject to applicable consumer-protection requirements.

53. ENTIRE AGREEMENT

This Agreement, together with the policies and disclosures incorporated into it, constitutes the complete agreement governing the Loyalty Program.

No verbal statement, advertisement, customer-service communication, or informal representation modifies this Agreement unless confirmed through an authorized written or electronic amendment.

A service-specific promotion may supplement this Agreement but controls only with respect to that promotion.

54. CUSTOMER SUPPORT AND CANCELLATION CONTACT

Membership questions, billing concerns, cancellation requests, and Program inquiries may be submitted through the official contact methods published by FREELANCER.

A cancellation request should include:

• Member's full name;
• registered email address;
• registered telephone number;
• Membership or Passenger account information; and
• A clear statement requesting Membership cancellation.

FREELANCER will not require the Member to provide unnecessary information unrelated to account identification or security.

55. ELECTRONIC ACKNOWLEDGMENT

By selecting "I Agree," "Join," "Enroll," "Start Membership," or a substantially similar electronic acceptance button, the Member confirms:

1. I am at least eighteen years of age and legally capable of entering into this Agreement.
2. I have reviewed and accept the FREELANCER Loyalty Program Membership Agreement.
3. I understand that the standard Membership Fee is $9.95 per month, unless another price is clearly disclosed during enrollment.
4. I understand that Membership automatically renews each month until I cancel.
5. I authorize FREELANCER and its payment processor to charge my authorized payment method at each recurring billing interval.
6. I understand that Membership Fees are generally nonrefundable after a billing period begins, except when required by law or expressly approved.
7. I understand that Membership does not include unlimited transportation.
8. I understand that discounts, rewards, complimentary services, Featured Vehicles, Vehicle Select, Gender Select, and other benefits are subject to eligibility and availability.
9. I understand that I may cancel through an available authorized cancellation method.
10. I consent to receiving this Agreement, billing confirmations, renewal information, cancellation confirmation, and other Program communications electronically.

56. MEMBERSHIP CLOSING PHILOSOPHY

The FREELANCER Loyalty Program was created upon a simple principle:

Passengers who choose FREELANCER should receive more than transportation.

They should receive appreciation.

They should receive recognition.

They should receive greater comfort, meaningful value, intelligent service support, professional care, and opportunities designed around their continued relationship with the FREELANCER Executive Mobility experience.

Loyalty is not merely measured by the number of reservations completed.

It is reflected in the trust established between a Passenger, a professional Partner-Chauffeur, and a mobility platform committed to creating an experience worthy of being remembered.

At FREELANCER, appreciation should never have an expiration date.

Membership should be rewarding.
